Contravention of Law. Neither the execution and delivery of this Agreement, nor the Security and supporting documents, nor the performance of or compliance with any of their respective terms, will contravene any provision of any law, regulation, order or permit applicable to the Borrower, or result in a breach, or constitute a default under, or require any consent under the terms or conditions of any agreement or instrument to which the Borrower is a party.
Contravention of Law. If any provision or section of this Agreement is found to be in violation of laws or regulations of the United States, or the State in which the mill covered by this Agreement is located, such provisions shall be superseded by the appropriate provisions of such law or regulations, so long as same is in force and effect. All other provisions of this Agreement shall continue in full force and effect. The parties will discuss any change to a federal or state law, which may be related to this Agreement, and if it is found to affect a provision of this Agreement, the parties shall meet and negotiate the change or changes to the Agreement to conform to the law. Should Section 14B of the National Labor Relations Act be amended or repealed, by either the State or Federal Government, the Company will notify the bargaining unit members they have thirty (30) days to become members of the Union.
Contravention of Law by Chiron or by the Purchaser if consummation of the transactions contemplated hereby would violate any nonappealable final order, decree or judgment of any court or governmental body having competent jurisdiction;
Contravention of Law. Nothing contained in this JOA shall be construed to permit any party acting jointly or by unified action to engage in any predatory pricing, predatory practice or any other conduct which would be unlawful under any antitrust law as engaged in by any single entity. The parties hereto further mutually agree that if any part or provision of this JOA shall hereafter become, or be determined by action in any proper court to be, in contravention of law, this JOA shall not thereby be considered or adjudged to be a nullity, but that all parties shall, and each hereby agrees, immediately to take, or authorize such action to be taken, to reform this JOA, or to modify, alter or supplement any of its provisions, as may be necessary to permit the intention and purpose of the parties hereto to be properly and lawfully carried out.

Contravention of Law. Neither the execution and delivery of this Agreement or of the Security, nor the performance of or compliance with their respective terms or consummation of the transactions contemplated hereby or thereby, will (i) contravene any provision of any law, regulation, order or permit applicable to IDB, other than the Excluded Approvals, (ii) conflict with or contravene the constating documents of IDB, (iii) result in a breach or termination, or constitute a default under or accelerate or permit acceleration under any agreement or instrument to which IDB is a party, or by which IDB is bound, which would result in a Material Adverse Change, or (iv) require any registration, filing, notice, consent or approval of any Governmental Body, other than the registration or recording of the Security, or under the terms or conditions of any agreement or instrument to which IDB is a party or by which IDB is bound, which, if not obtained or made, would result in a Material Adverse Change.
Contravention of Law. If a court or law makes any part of this Agreement invalid or unenforceable, the balance of this Agreement shall remain in full force and effect and the parties shall negotiate over the part declared invalid or unenforceable with the goal of making it valid and enforceable or removing it from the Agreement.
Contravention of Law. By APL or by the Purchaser if consummation -------------------- of the transactions contemplated hereby would violate any nonappealable final order, decree or judgment of any court or Governmental Entity having competent jurisdiction (other than as a result of the failure to obtain approval of the shareholders of NOL); provided, that, the party seeking to terminate this -------- Agreement pursuant to this clause (c) shall have used all commercially reasonable efforts to remove such final order, decree or judgment;
Contravention of Law. If any of the conditions set forth in Section 4.1 becomes permanently incapable of being satisfied by virtue of any order, decree or ruling or any other action taken by any Governmental Entity that is final and nonappealable, then any party to this Agreement (other than any party (treating DoCoMo and its Designees as a single party, and treating AT&T and AT&T Wireless as a single party) whose failure to comply with such party's obligations under this Agreement shall have caused such failure to occur or who has failed to use such party's reasonable best efforts to cause any such order, decree or ruling to be lifted, reversed or vacated), may terminate this Agreement.
