A., below) Contractor shall cause an athletic trainer to attend the School’s home athletic events throughout the school year. In addition, the Athletic Trainer shall travel to away Varsity playoff events (for which Contractor and School shall be given advance notice). In the event there are two home athletic events scheduled at the same time, the Athletic Director for School will decide, and notify Contractor and School in advance, whether Athletic Trainer shall divide his/her time between the athletic events or whether the Athletic Trainer shall only attend one of the events, or whether a second athletic trainer is needed for coverage. When the Athletic Trainer is attending School’s athletic events, the Athletic Trainer will not be available at the training room of the School, and contractor shall not be requested to provide an additional athletic trainer at the athletic training facility for such period of time. The Parties understand and recognize that the position of Contractor is a part time position as independent contractor. That is, the hours for the Contractor shall be determined by the Athletic Directors on an as needed basis for an average of 25 hours per week not to exceed 6 days per week. In addition, the maximum number of hours of services to be performed by Contractor and / or it’s personnel pursuant to this agreement for each school year shall be 1000 hours.

Contractors Duties and Responsibilities. 1.1 Contractor shall provide (and be responsible for all of the costs related thereto) any and all designs, plans, know-how, labor and related benefits, supervision, materials, equipment and tools, including, without limitation, the equipment listed on Exhibit A attached hereto and maintenance, repair and replacement of such equipment, (but excluding Owner's duties and responsibilities in Section 2 hereof and the equipment to be provided by Owner described on Exhibit B attached hereto) to dredge/mine the Dickerson Pond and provide x xxxx/xxter slurry at the plant wall of Owner's Facility: (a) at the rate of 150 "dry tons" (as hereinafter defined) per hour; (b) at a consistency of 35% or higher slurry solids; and (c) with continuous operations of 24 hours per day and seven days per week (collectively, the "Performance Design Objectives"). As used herein "dry tons" shall be the summation of the products obtained by multiplying the slurry volume measurements by the corresponding percent solids content of the slurry delivered as determined by Owner as provided in Section 2. All dredging shall be conducted in accordance with the mining plan prepared by Contractor and attached hereto as Exhibit C (the "Mining Plan"). Owner has the right, but not the duty, to review the Mining Plan and suggest changes. Contractor shall maintain all of Contractor's equipment in good working order, including regular preventative maintenance, and promptly repair or replace any such equipment as necessary.

The Contractor will exercise reasonable skill, care and diligence in conformity with the normal standards of the Interior Design and Decoration profession. - The Contractor will obtain authority of the Client before initiating any service or work stage. - The Contractor shall not make any material alteration, addition to or omission from the approved design without the knowledge and consent of the Client, except if found necessary during construction for contractual reasons in which case the Contractor shall inform the client without delay. - The Contractor will have the authority to co-ordinate and integrate into the overall design the service provided by any sub-Contractors however employed. - The Contractor will give immediate notice in writing to the Client of any situation arising from force majeures which makes it impracticable to carry out any of the agreed services and agree with the Client a suitable course of action. - The Contractor will supervise all aspects of the works and takes responsibility for any issues arising directly from incorrect designs, drawings created by the Contractor. - The Contractor will appoint a project manager/coordinator who will provide weekly progress reports to the Client and will hold routine meetings with the Client as and when needed.
