CONTRACT TERM AND EXTENSIONS. The term of this Piggyback Contract shall begin on the date of execution by OGS and shall end upon the expiration or termination of the Master Contract, subject to OGS’ right to terminate this Piggyback Contract as provided herein. It is the intent of the Parties that the term of this Piggyback Contract be coterminous with the term of the Master Contract; accordingly, the term of this Piggyback Contract shall be deemed extended whenever the term of the Master Contract is extended, without the need for the Parties to execute an extension or amendment to this Piggyback Contract.
CONTRACT TERM AND EXTENSIONS. The Contract term shall be for ten years. The Contract shall commence after all necessary approvals and shall become effective upon mailing or electronic communication of the final executed documents to the Contractor (see Appendix B, Contract Creation/Execution). Purchase orders or contractual documents issued against this Contract may survive up to one year from the date expiration of the Contract, the terms and conditions of which will apply throughout the extended term. All OGS Centralized Contracts resulting from the RFP shall have a co-terminus end date, including those Contracts awarded during any subsequent periodic recruitment. At the State’s option, the Contract may be extended for five (5) years, in increments as deemed to be in the best interest of the State. Whether the optional extensions are exercised is at the sole discretion of the State. Any Contract extension will be under the same terms and conditions, subject to any additional applicable statutory and policy requirements. Any extensions provided under this section shall apply in addition to any rights set forth in Appendix B, Contract Term – Extension. The Contract term provided for in this section shall extend 6 months beyond its termination date only for Authorized Users whose Contracts are required to be registered with the Office of the New York City Comptroller. During the 6- month period the definition of Authorized User shall be deemed to refer only to Authorized Users whose Contracts are required to be registered with the Office of the New York City Comptroller. This extension is in addition to any other extensions available under the Contract. The extension provided for in this paragraph shall be upon the then-existing terms and conditions; provided, however, during such extension an Authorized User, as defined in this paragraph, may agree to amend such terms and conditions solely to comply with changes in statutory requirements (e.g. changes in minimum, prevailing or living wages, or regulated services). If at any time the Contract is canceled, terminated or expires, the Contractor has the affirmative obligation to extend appropriate and reasonable cooperation to assure the orderly transition of Contract services to the subsequent Contractor.

The term of this Participating Addendum shall begin on the date of approval by the New York State Office of the State Comptroller (OSC) and shall end upon the expiration or termination of the Master Contract, subject to OGS’ right to terminate this Participating Addendum as provided herein. It is the intent of the Parties that the term of this Participating Addendum be coterminous with the term of the Master Contract; accordingly, the term of this Participating Addendum shall be deemed extended whenever the term of the Master Contract is extended, without the need for the Parties to execute an extension or amendment to this Participating Addendum.

All OGS Centralized Contracts resulting from this Piggyback Award shall have a co-terminus end date and shall end upon the expiration or termination of the Master Contract, subject to OGS’ right to terminate the Piggyback Contract as provided herein. It is the intent of the Parties that the term of this Piggyback Contract be coterminous with the term of the Master Contract; accordingly, the term of this Piggyback Contract shall be deemed extended whenever the term of the Master Contract is extended, without the need for the Parties to execute an extension or amendment to this Piggyback Contract. Any Contract extension will be under the same terms and conditions, subject to any additional applicable statutory and policy requirements. Upon expiration of the Master Contract, Contractor may submit any subsequent replacement contracts entered into for the same or similar products with the same issuing entity to OGS, in order to establish a new or renewed contract. In the event Contractor's Master Contract expires and no new contract is let by the original issuing entity, OGS reserves the right, upon written agreement with Contractor, to renew the New York State Contract under the same terms and conditions for an additional period of one (1) year.

The Contract term shall commence on the later of July 1, 2018 or after all necessary approvals and shall become effective upon mailing or electronic communication of the final executed documents to the Contractor (see Appendix B, Contract Creation/Execution). All Contracts awarded under IFB #23093 shall have a co-terminus end date, notwithstanding non-renewals or contract cancellations. At the State’s option, the Contract may be extended for three (3) additional years, in increments as deemed to be in the best interest of the State. Whether the optional extensions are exercised is at the sole discretion of the State. A Contractor shall retain the right to decline a Contract extension offered under this section. Any Contract extension will be under the same terms and conditions, subject to any additional applicable statutory and policy requirements. Any extensions provided under this section shall apply in addition to any rights set forth in Appendix B, Contract Term – Extension.

Effective upon the date of execution of this Piggyback Contract by OGS, New York State contract number PC66984 shall be deemed terminated, and all previous transactions executed under contract number PC68962 shall be governed by the terms of contract number PC68962.
CONTRACT TERM AND EXTENSIONS. The Contract Term shall commence upon approval by the Office of the State Comptroller (“OSC”). Unless otherwise terminated or renewed in accordance with the terms of this Contract, this Contract shall have an end date of June 14, 2026. The Parties may renew the Contract, upon approval of the NYS OGS, SBOE and OSC, upon expiration of the original term for an additional one (1) year. Upon termination of the Contract, all rights and obligations set forth herein shall survive in accordance with their terms as to procurements made or individual licenses granted to Authorized Users prior to such termination.
