Common use of Continuing Expenses Clause in Contracts

Continuing Expenses. The continuing fees, expenses and disbursements (including reasonable counsel fees) of Certificate Trustee, as lessor under the Lease and as trustee under the Trust Agreement with respect to the administration of the Trust Estate, and the expenses of Administrative Agent as administrative agent under this Agreement and of Information Agent as information agent under this Agreement, shall be paid by Lessee as Supplemental Rent, it being understood that ordinary costs of Administrative Agent and Certificate Trustee for required payments and distributions under the Operative Documents are not covered by this Section 9.9(b).

Continuing Expenses. The continuing fees, expenses and disbursements (including reasonable out-of-pocket counsel fees) of (i) Certificate Trustee, as lessor under the Lease and as trustee under the Trust Agreement with respect to the administration of the Trust Estate, Estate and (ii) the expenses of Administrative Agent as administrative agent Agents under this Agreement and of Information Agent as information agent under this Agreementthe Operative Documents, shall be paid (subject to the exclusions expressly set forth in the provisions of Section 7 of this Agreement) directly by the Lessee as Supplemental Rent, it being understood that ordinary costs of Administrative Agent and Certificate Trustee for required payments and distributions under the Operative Documents are not covered by this Section 9.9(b).
