Continuing Assistance. Subsequent to the Closing, each Seller --------------------- and the Purchaser (at their own cost) shall assist each other (including making records available) in the preparation of their respective Tax Returns and the filing and execution of Tax elections, if required, as well as any audits or litigation that ensue as a result of the filing thereof, to the extent that such assistance is reasonably requested.

Continuing Assistance. Employee hereby further agrees that during the term of Employee’s employment with Company and at any time thereafter, Employee shall execute and deliver to Company any written documents necessary or appropriate, in Company’s sole discretion, to effectuate the assignment to Company of any and all rights in such Inventions and Works of Authorship to which Company is entitled as provided above, and will execute all papers and perform any other lawful acts requested by Company for the preparation, prosecution, procurement, maintenance, enforcement and defense of any trademark, trade secret, copyright, patent and/or other intellectual or industrial property rights in and for such Inventions and Works of Authorship throughout the world, and will execute all documents and perform any other lawful act necessary to vest title in Company to such Inventions and Works of Authorship and all trademarks, trade secrets, copyrights, patents and other intellectual and industrial property rights relating thereto. To the extent that, for any reason or no reason, including without limitation Employee’s physical or mental incapacity, Employee fails to comply with Employee’s obligations described above in this paragraph 1(d), Employee hereby appoints Company as Employee’s agent and attorney in fact, and grants to Company a power-of-attorney with full power of substitution, to execute, deliver and file any documents, and perform any acts, Employee would otherwise lawfully be obligated to execute, deliver, file or perform pursuant to this paragraph 1(d), with the same legal force and effect as if executed, delivered, filed or performed by Employee. Such power of attorney shall be deemed coupled with an interest for the purposes of effecting the foregoing assignments, prosecutions, procurement, maintenance, enforcement and defense.

Continuing Assistance. Regardless of the reason for the termination of Executive's employment, for a period of five (5) years beginning on the date of the termination of this Agreement, the Company will provide such reasonable assistance and support to Executive or Executive's estate as he or such estate shall reasonably require in connection with the preparation and filing of tax returns, statements, and forms insofar as such returns, statements, or forms relate to Executive's employment or other association with the Company, or any of its predecessors or affiliates. At the Company's election, such assistance and support shall be provided by either tax personnel from the Company or certified public accountants selected and compensated by the Company.
Continuing Assistance. Franchisor shall provide such periodic assistance as it deems appropriate, utilizing Franchisor1S representatives who shall contact or visit the franchised Locations from time to time. The frequency and duration of such contacts or visits to Locations by representatives of Franchisor shall be in the sole discretion of Franchisor. In addition, Franchisor will be available on an ongoing basis for consultation and guidance with respect to the operation and management of the Franchised Business. Franchisor, from time to time, also may make available an operations review of the Franchisee’s business operations based on information provided by the Franchisee. The operations review will be no more frequent than one per year. In addition to the Operations Manual, Franchisor may from time to time provide Franchisee with additional materials relating to the Franchised Business.
Continuing Assistance. If Tenant leaves an apartment and wants to continue to receive assistance from SPC, the Tenant must keep the LAA Representative informed of such plans. If the Tenant leaves an apartment and does not move into another apartment with SPC assistance within 30 days, and does not maintain contact with their LAA Representative, the tenant will be terminated from the SPC assistance. After that 30-day period, the tenant will need to reapply for SPC assistance, if reinstatement is desired.

Continuing Assistance. If Tenant leaves the rental unit and wants to continue to receive assistance from LHA, the Tenant must keep the LHA informed of such plans. If the Tenant leaves the rental unit and does not move into another rental unit with program assistance within 30 days, and does not maintain contact with LHA, the Tenant may be terminated from the IDJC Resettlement Optional Relocation Assistance Program. After that 30-day period, the Tenant may need to reapply for the program if reinstatement is desired. The Tenant may not move more often than once per year.
Continuing Assistance. In addition, Employee agrees to fully cooperate with the Trex Affiliates with respect to any litigation, investigation or legal proceeding to which any of the Trex Affiliates is a party and as to which Employee has relevant information. Trex will reimburse Employee in accordance with its standard policies therefor for Employee’s out-of-pocket travel and other incidental expenses reasonably incurred by Employee incurred as a result of his cooperation pursuant to this Section 16.
Continuing Assistance. Subsequent to the execution of this Lease, Tenant will provide to Landlord whatever assistance the Landlord reasonably requests including execution of additional documents contemplated by this Lease. Landlord will pay Tenant the reasonable out-of-pocket expenses incurred in providing such assistance.
