Continued Services. On or after the giving of notice of termination and during any notice period, UNTHSC shall be entitled to such full-time Services of Pharmacist as UNTHSC may reasonably require, and UNTHSC, in its sole discretion, shall specifically have the right to terminate the active Services of Pharmacist at the time such notice is given and to pay to Pharmacist the compensation due to Pharmacist under Section above for the duration of the notice period. In the event of termination, neither party shall have any further obligation hereunder, except for: obligations accruing prior to the date of termination; obligations, promises, or covenants contained herein which are expressly made to extend beyond the term of this Agreement; and obligations which by their nature would survive termination. Following any notice of termination of employment, given by either party, when applicable, Pharmacist shall fully cooperate with UNTHSC in all matters relating to the completion of Pharmacist’s pending work on behalf of UNTHSC and the orderly transfer of such work to other professional employees of UNTHSC. Non-Solicitation . Pharmacist acknowledges that extensive contacts with employees of UNTHSC and/or Clinical Practice Group will occur. Accordingly, Pharmacist agrees that, during the term of Pharmacist’s employment and for the period of one (1) year immediately thereafter, Pharmacist will not directly or indirectly contact any employees of UNTHSC or Clinical Practice Group in order to discontinue or interfere with that person’s employment relationship with UNTHSC or Clinical Practice Group. Federal and State Health Care Programs . Pharmacist represents and warrants that Pharmacist has never been: (a) convicted of a criminal offense related to health care and/or related to the provision of services paid for by Medicare, Medicaid, or another federal or state health care program; or (b) excluded from participation in any federal or state health care program, including, but not limited to, Medicare and Medicaid. Pharmacist further represents and warrants that Pharmacist is not presently debarred, suspended, proposed for debarment, declared ineligible, or excluded from participation in any federal or state grant, benefit, contract, or program (including but not limited to Medicare and Medicaid) by any federal or state department or agency. Continued Services. Neither this Agreement nor any Option granted hereunder shall confer upon the Optionee any right to continue to render services to the Company or any subsidiary of the Company, or limit in any respect the right of the Company, the Board of Directors of the Company or any subsidiary of the Company to terminate the services of the Optionee at any time.
Continued Services. The compensation and benefits under this Agreement are to be provided to you, in part, to assure your continued services. Accordingly, you agree that you will work for the Company for at least six months after the Transaction, except if your employment is terminated by the Company without Cause or you Quit with Good Reason, or die or become disabled (within the meaning of any Company disability plan or policy).
Continued Services. Notwithstanding any Agreement Termination, this Agreement shall not expire or terminate (and shall continue in full force and effect in accordance with its terms) after its Termination Date with respect to each Activated iTracker Unit having Active Status on such Termination Date ("Surviving iTracker Units"), but only for so long as such Surviving iTracker Unit retains such Active Status (i.e., until it is Deactivated by DISTRIBUTOR) ("Extension Term"). DISTRIBUTOR may, in its sole discretion, continue to purchase the Services from iSecureTrac hereunder (and iSecureTrac shall continue to make available, sell, and perform such Services to DISTRIBUTOR as provided herein) after any Termination Date for each Surviving iTracker Unit until its Deactivation Date, even if such Deactivation Date and its Activation Term extends beyond the Termination Date ("Continued Services"). All Continued Services and Surviving iTracker Units shall be "Services" and "Activated iTracker Units" hereunder and shall be subject to all of the terms and conditions of this Agreement applicable thereto, including the Deactivation rights contained herein. The terms of this Section 10.2 shall supersede any contrary provision contained in this Agreement.

Continued Services. Notwithstanding anything else contained herein to the contrary, to be eligible to receive a bonus pursuant to this Agreement, you must be providing services to the Company or one of its subsidiaries through each Performance Vesting Date or the date of a Change in Control, as applicable. Services for a portion of the term of this Agreement, no matter how substantial, shall not entitle to you any proportionate interest in any bonus under any circumstances. Nothing contained in this Agreement constitutes an employment or service commitment by the Company (or any of its affiliates).
Continued Services. Nothing in this Agreement confers on Executive any right to continue in the service of the Company for any period of time or restricts in any way the right of the Company or Executive to terminate Executive’s services relationship with the Company at any time.
Continued Services. In consideration of the foregoing, Executive agrees to continue to perform services for the Company until March 31, 1997. Thereafter Executive may serve as an at-will employee on a month to month basis on mutually agreeable terms. The term of the Employment Agreement shall be deemed extended until March 31, 1997, subject to the arrangements set forth in this Agreement. Notwithstanding the foregoing provision, the Company acknowledges its obligations under Section 4 of the Employment Agreement, and agrees that such obligations shall continue beyond the term of this Agreement and the payment of such obligations will not be subject to any of the conditions set forth in Section 4 of the Employment Agreement regarding the termination of Executive's employment.
