Consulting Fees and Benefits. (a) The Company shall pay Consultant a total of $120,000 ("Consulting Fees"), plus reimbursement of any Federal and State self-employment, FICA, Medicare and unemployment taxes owed by Consultant as a result of his engagement under this Agreement, (collectively the "Self-Employment Taxes").

Consultant also shall be entitled to reimbursement for expenses incurred by Consultant in the performance of his duties hereunder, so long as such expenses would, if Consultant were the Chief Executive Officer of the Company, be eligible for reimbursement or payment under the Company's policies regarding such expenses as in effect from time to time during the term of this Agreement.

Finally, the Company shall pay, or reimburse (consistent with the general expense reimbursement policy) the Executive for, all expenses he reasonably incurs in rendering the consulting services provided for in Section 6(c), upon presentation of appropriate documentation thereof. It is expressly acknowledged and agreed that no other compensation or benefits will be provided to the Executive for his consulting services.
Consulting Fees and Benefits. The Company shall pay Executive annual consulting fees (the “Fees”) equal to the sum of (i) Executive’s Base Salary (ii) the higher of Executive’s Target Bonus and the average annual Bonus amount paid to Executive for the two (2) fiscal years preceding the Termination Date and (iii) one-third of all self-employment taxes paid by Executive on the Fees (for the avoidance of doubt, including the amount under this clause (iii)), to be paid in equal semi-monthly installments. Provided the Executive timely elects to continue his group health insurance coverage after the Termination Date pursuant to the federal COBRA law or comparable state law and the terms and conditions of the applicable Company group health insurance plans, in exchange for the consulting services, the Company shall also pay all health insurance continuation premiums necessary to maintain Executive’s group health insurance coverage (for himself and his covered dependents) as of the Termination Date in effect for Consulting Period. Pursuant to its regular business practice, the Company shall reimburse Executive for all reasonable documented business expenses incurred in performing the consulting services.

  • Consulting Fees The Consultant shall be entitled to $375 per hour, not to exceed $3,000 per day, of Service actually performed by the Consultant hereunder. The Consultant shall submit to the Company monthly statements, in a form satisfactory to the Company, detailing Services performed for the Company in the previous month. The Company shall pay to the Consultant consulting fees with respect to all Services actually performed and invoiced within 30 days after Company’s receipt of each monthly invoice.

In addition, Executive shall be entitled to any other vested benefits earned by Executive for the period through and including the termination date of Executive’s employment under any other employee benefit plans and arrangements maintained by the Company or its subsidiary, as applicable, in accordance with the terms of such plans and arrangements, except as modified herein (collectively “Accrued Benefits”). Any Accrued Compensation and Expenses to which the Executive is entitled shall be paid to the Executive in cash as soon as administratively practicable after the termination, and, in any event, no later than two and one-half (2-1/2) months after the end of the taxable year of the Executive in which the termination occurs or at such earlier time as may be required by applicable law or Section 10 below, and to such lesser extent as may be mandated by Section 9 below. Any Accrued Benefits to which the Executive is entitled shall be paid to the Executive as provided in the relevant plans and arrangements.

  • Severance Payments; Salary and Benefits The Company agrees to provide Executive with the severance payments and benefits described in Section 4(b) [and Section 4(c)] of the Employment Agreement, payable at the times set forth in, and subject to the terms and conditions of, the Employment Agreement.
