Consulting and Other Services. Xxxxxx Mae may provide certain consulting, implementation, training, installation, integration and other services to Licensee. All such services are provided on an “as‐is” basis without warranty of any kind.
Consulting and Other Services. Xxxxxx Xxx may, from time to time, provide certain consulting, implementation, training installation, integration and other services to Licensee at the rates set forth in an applicable Rate Sheet. Unless otherwise separately agreed between Licensee and Xxxxxx Xxx, any such consulting and other services shall be provided on an “as-is” basis, without warranty of any kind.

At Customer's reasonable request and subject to the availability of SunGard's personnel, SunGard shall provide to Customer conversion assistance, consulting services, custom modification programming, support services relating to custom modifications, assistance with data transfers, assistance in the use of the System Services security mechanisms and other specialized support services with respect to the System Services. These services shall be provided by SunGard at Customer location(s) if SunGard and Customer agree that on-site services are appropriate.

At any time during the Term, the Company shall be permitted to submit reasonable requests to Pfizer for Pfizer to perform additional services for the Company in connection with the Collaboration, including consulting services. Following such a request, Pfizer may, in its sole discretion, negotiate with the Company the terms of an appropriate agreement to provide for the applicable additional services. For clarity, neither Party shall be obligated to enter into an agreement with the other Party with respect to or to provide such additional services.

From time to time at the Foundation’s request, Service Provider may provide information technology consulting and related services to the Foundation through its or its affiliates’ data center employees and other technical personnel, subject in all cases to the availability of personnel. Such services shall include, but not be limited to: pre-acquisition evaluation of Equipment or Software; negotiation or advice concerning the terms and conditions of proposed acquisitions of Equipment or Software; implementation and/or installation of Equipment or Software; advice or assistance in the use, maintenance, enhancement, reconfiguration or replacement of Equipment or Software; advice and assistance relative to network, data and systems security issues; and advice and assistance with disaster recovery capabilities.
Consulting and Other Services. Any services provided by the Consultant and/or the Lender that are considered above and beyond the Monitoring Services as set out in Subsection 4.1(a) above (collectively, the “Consulting and Other Services”).

During the Term of this Agreement and provided that no default shall exist and be continuing under this Agreement, HealthIXS agrees to provide consulting, custom development, and other reasonable services including, but not limited to, the procurement of hardware and peripherals, and setup and management of hosting services, per statements of work (“SOW”) and related terms and conditions mutually agreed to by the parties.
