Consultation with the Concessionaire. The Authority shall convey the aforesaid panel of firms to the Concessionaire for scrutiny and comments, if any. The Concessionaire shall be entitled to scrutinise the relevant records of the Authority to ascertain whether the selection of firms has been undertaken in accordance with the prescribed procedure and it shall send its comments, if any, to the Authority within 15 (fifteen) days of receiving the aforesaid panel.

After completion of every 5 (five) years from the date of preparing the mutually agreed Panel of Chartered Accountants, or such earlier period as may be agreed between the Authority and the Concessionaire, a new panel shall be prepared in accordance with the provisions of this Schedule-P. VESTING CERTIFICATE (See Clause 31.4) VESTING CERTIFICATE The ______________________, <Insert Name> Municipality (the “Authority”) refers to the Concession Agreement dated ******(the “Agreement”) entered into between the Authority and ****** (the “Concessionaire”) for undertaking the Development of a New Bus Stand Infrastructure Project for < Name> Municipality in <Insert Location>, Tamil Nadu (the “Project ”) through Public Private Partnership (PPP) on Design, Build, Finance, Operate and Transfer (“DBFOT ”) basis. The Authority hereby acknowledges compliance and fulfilment by the Concessionaire of the Divestment Requirements set forth in Clause 31.1 of the Agreement on the basis that upon issue of this Vesting Certificate, the Authority shall be deemed to have acquired, and all title and interest of the Concessionaire in or about the Project shall be deemed to have vested unto the Authority, free from any encumbrances, charges and liens whatsoever. Notwithstanding anything to the contrary contained hereinabove, it shall be a condition of this Vesting Certificate that nothing contained herein shall be construed or interpreted as waiving the obligation of the Concessionaire to rectify and remedy any defect or deficiency in any of the Divestment Requirements and/or relieving the Concessionaire in any manner of the same.   • PARTIES TO THE CONTRACT This Contract is solely between the Company and the SBA which administers the FHCF.
