Common use of Consultation with Experts Clause in Contracts

Consultation with Experts. The Administrative Agent shall be entitled to retain and consult with legal counsel, independent public accountants and other experts selected by it and shall not be liable to the Banks for any action taken, omitted to be taken or suffered in good faith by it in accordance with the advice of such counsel, accountants or experts. The Administrative Agent may employ administrative agents and attorneys-in-fact and shall not be liable to the Banks for the default or misconduct of any such administrative agents or attorneys.

Consultation with Experts. The Administrative Agent may execute any of their respective duties under this Agreement by or through agents, employees or attorneys-in-fact and shall be entitled to retain and consult with legal advice of counsel, independent public accountants and other consultants or experts selected by it and shall not be liable concerning all matters pertaining to the Banks for any action taken, omitted to be taken or suffered in good faith by it in accordance with the advice of such counsel, accountants or expertsduties. The Administrative Agent may employ administrative agents and attorneysshall not be responsible for the negligence or misconduct of any agent or attorney-in-fact and shall not be liable to that it selects in the Banks for the default absence of gross negligence or misconduct of any such administrative agents or attorneyswillful misconduct.
