Consultant's Qualifications. Consultant represents and warrants that Consultant has the qualifications and skills necessary to perform the services under this Agreement in a competent and professional manner, and is able to fulfill the requirements of this Agreement. Consultant shall comply with all applicable federal, state and local laws in the performance of its obligations hereunder, and all materials used by Consultant in fulfilling its obligations under this Agreement shall not infringe upon any third party copyright, patent, trade secret or other proprietary right. Consultant acknowledges and agrees that failure to perform all the services required under this agreement constitutes a material breach of the Agreement.
Consultant's Qualifications. Services estimated to cost less than the equivalent of $100,000 per contract, up to an aggregate amount not to exceed $300,000 equivalent may be procured under contracts awarded in accordance with the provisions of paragraphs 3.1 and 3.7 of the Consultant Guidelines.

Consultant warrants and represents that it has been regularly engaged in the business of energy awareness, energy education, or energy conservation programs for at least five years. The staffing plan is Consultant’s best estimate of what will be required to staff the Program. Provided, however, that should it become necessary for Consultant to devote additional resources not shown on the staffing plan in order to achieve compliance with this Agreement, Consultant shall do so at no additional charge to GCS.

This means CONSULTANT is able to fulfill the requirements of this agreement. Failure to perform all the services required under this agreement constitutes a material breach of the agreement. CONSULTANT has complete and sole discretion for the manner in which the work under this agreement will be performed. Limited Liability: CONSULTANT will not be liable to CLIENT, or to anyone who may claim any right due to a relationship with CLIENT, for any acts or omissions in the performance of services under the terms of this agreement or on the part of the employees or agents of CONTRACTOR unless those acts or omissions are due to willful misconduct. CLIENT will indemnify and hold CONSULTANT free and harmless from any obligations, costs, claims, judgements, attorneys' fees, and attachments arising from, growing out of, or in any way connected with the services rendered to CLIENT under the terms of this agreement. Termination for Default: If either party defaults in the performance of this agreement or materially breaches any of its provisions, the non-breaching party may terminate this agreement by giving written notification to the breaching party. Termination will take effect immediately on receipt of notice by the breaching party or five days after mailing of notice, whichever occurs first. On the effective date of this Agreement, and during the term of this Agreement, Consultant will be fully qualified and will have all approvals and registrations needed to perform its obligations under this Agreement. Consultant will have and maintain all licenses, permits, certificates and registrations needed to perform its Services pursuant to this Agreement.

The consultant must have experience (preferably applied to government institutions) on organizations design or redesign, analysis and definition of organizational structures, planning and sizing of staffs, profiles definitions. Also, during the last ten years must have had at least three studies on matter of design, implementation or development of master national energy plans.
