Common use of Consideration Shares Clause in Contracts

Consideration Shares. The Consideration Shares shall be issued on terms that they will rank pari passu in all respects with the ordinary shares of the Purchaser in issue at the date of allotment save as regards any dividend or distribution declared, paid or made by reference to a record date which is prior to Completion.

Consideration Shares. 4.1 The Consideration Shares shall be issued on terms that they will rank pari passu in all respects with the existing ordinary shares of £0.01 each in the Purchaser in issue at capital of the date of allotment Buyer, including the right to receive all dividends declared, made or paid after the Completion Date (save as regards that they shall not rank for any dividend or other distribution declaredof the Buyer declared made, or paid or made by reference to a record date which is prior to Completionbefore the Completion Date).

Consideration Shares. (a) The Consideration Considerations Shares will be credited as fully-paid and shall be issued on terms that they will rank pari passu in all respects with the then-existing ordinary shares of the Purchaser in issue at Company (the date of allotment save as regards any dividend or distribution "Shares"), including the right to receive all dividends declared, made or paid on or made by reference to a record date which is prior to after Completion.
