Consents; Status of Permits and Licenses. The Purchaser will have obtained all necessary permits and other authorizations, whether city, county, state or federal, which may be needed to operate an establishment serving liquor and providing live female adult semi-nude entertainment on the Premises, including but not limited to a private club liquor license and a sexually oriented business license, and all such permits and authorizations will be in good order, without any administrative actions pending or concluded that may challenge or present an obstacle to the serving of liquor and to the continued performance of live female adult semi-nude entertainment, without any interruption.
Consents; Status of Permits and Licenses. The Purchaser will have obtained all necessary permits and other authorizations, whether city, county, state or federal, which may be needed to operate an establishment serving liquor and providing live female adult nude and semi-nude entertainment on the Premises, including but not limited to a Denver Amusement Permit, a sexually oriented business license and a cabaret license for dancing, and all such permits and authorizations will be in good order, without any administrative actions pending or concluded that may challenge or present an obstacle to the serving of liquor and to the continued performance of live female adult nude and semi-nude entertainment, without any interruption.

Purchaser shall possess all necessary permits, zoning classifications and other authorizations, whether city, county, state or federal, which may be needed to conduct adult fully nude entertainment on the Premises, without any interruption, and all such permits, zoning classifications and authorizations shall be in good order, without any administrative actions pending or concluded that may challenge or present an obstacle to the continued performance of adult fully nude entertainment at Jaguar’s Gold Club. All necessary transfers of licenses and leases required for the continued operation of the business of the Company shall have been obtained. The Specialized Certificate of Occupancy of Jaguar’s Gold Club and the Company shall be in full force and effect.

Purchaser shall possess all necessary permits, zoning classifications and other authorizations, whether city, county, state or federal, which may be needed to conduct adult topless entertainment with the sale of alcoholic beverages on the Premises, without any interruption, and all such permits, zoning classifications and authorizations shall be in good order, without any administrative actions pending or concluded that may challenge or present an obstacle to the continued performance of adult topless entertainment or sale of alcoholic beverages at Cabaret North. All necessary transfers of licenses and leases required for the continued operation of the business of the Company shall have been obtained. The Specialized Certificate of Occupancy of Cabaret North and the Company (which has been previously provided to the Purchaser) shall be in full force and effect.

The Purchaser shall have obtained all required approvals and authorizations to conduct its business as is presently being conducted on the Blue Star Premises by Blue Star, including if Purchaser so elects, a sexually oriented business license issued by the City of Dallas, Texas for 0000 Xxxxxx Xxxx to operate an adult cabaret by Blue Star after a revised application has been filed to reflect the sale of shares to RCI Inwood.

The Purchasers shall have obtained all required approvals and authorizations to conduct their business as is presently being conducted on the Silver City Premises by the Companies, including (a) a revised RM Mixed Beverage License in the name of Fine Dining and/or such other entity as Purchasers may select reflecting the change in corporate control resulting from the sale of the Fine Dining Shares to RCI Dining for the sale of alcoholic beverages on the Silver City Premises located at 0000 X. Xxxxxxxx Freeway; (b) a sexually oriented business license issued by the City of Dallas for Suite A, 0000 X. Xxxxxxxx Freeway to operate an adult cabaret featuring adult topless entertainment in the name of Green Star, Inc. d/b/a Silver City based upon the revised application which reflects the sale of the Green Star Shares to RCI Stemmons; and (c) a dance hall license issued by the City of Dallas for Suite A, 0000 X. Xxxxxxxx Freeway.
