Consents and Permissions. If you are the owner of the property, you will be required to enter into an agreement allowing us access to the property to install and provide the services. You will also be responsible for obtaining any other consents and permissions required to enable us to install, activate, inspect, maintain, alter or repair the services. If you are a tenant of the property, you will be required to ensure the freehold owner of the property (your landlord) enters into the contract with us and that the freehold property owner obtains any other consents and permissions required to enable us to install, activate, inspect, maintain, alter or repair the services. You acknowledge that if either you (where you are the freehold owner of the property) or the freehold owner of the property (where you are a tenant) fails to enter into the contract or you or the property owner fails to obtain the relevant consents and permissions then we will not be able to provide the services at the property.

You covenants, represents and warrants that you have the right and authority, and have or will obtain all necessary consents and permissions and/or provide any necessary notices to Consumers (including Cardholders) as required by applicable Laws including but not limited to, Privacy and Data Protection Regulations in order to collect, use and/or disclose Merchant Data, any personal information as that term is defined and interpreted under applicable Canadian privacy Laws, regulations and guidance, VIS Cardholder Information, selected Installment Plans and Installment Transaction amounts under this Agreement. You further covenant, represent and warrant that your fulfilment of your obligations under this Schedule will not violate the terms of any third party agreements to which you are a party, including applicable rules or agreements with Other Payment Network. Without limiting the generality of the foregoing sentence, you represent and warrant that you have or will obtain, to the extent applicable, all necessary consents and permissions from, and provide any necessary notices and disclosures to, Cardholders required by applicable Laws (a) in the use of Other Payment Networks in fulfilling its obligations hereunder; (b) relating to any use of Trademarks or other branding materials of Other Payment Networks; (c) to use the VIS service and enable Installment Transactions including the display of Installment Information in accordance with the terms hereunder and applicable Law; (d) provide Visa, participating VIS Issuer and Moneris with VIS Cardholder Information, selected Installment Plans and Installment Transaction amount; (e) allow Visa to use VIS Cardholder Information to provide Installment Information; and (f) use Installment Information to display, market and advertise available Installment Plans to Eligible Cardholders.

Overseas hereby represents and warrants to xxxxxxxxx.xxx that, to the extent required, Overseas has obtained or will obtain all requisite consents and permissions of labor organizations and pay any and all residuals, payments, fees or royalties, if any, payable under any collective bargaining agreement or otherwise, in connection with xxxxxxxxx.xxx's exercise of the rights granted under this Agreement. By way of example, and not limitation or obligation, as between xxxxxxxxx.xxx and Overseas, Overseas would be liable to pay any residuals required to be paid under any "Basic Agreement" of the Director's Guild of America, the Writer's Guild of America, or the Screen Actor's Guild for "Supplemental Market" showings of the Movies. Xxxxxxxxx.xxx shall provide to Overseas all information concerning the transmission and distribution of the Movies as is reasonably necessary for Overseas to comply with the obligations of this subparagraph. (f) E&O Insurance. Overseas hereby represents and warrants to xxxxxxxxx.xxx that Overseas has obtained, and will keep in force for the entire term of this Agreement and two (2) years thereafter, professional errors and omissions insurance in the amount of $1,000,000 per occurrence and $3,000,000 in the aggregate to cover all risks relevant to this Agreement and that xxxxxxxxx.xxx is an additional insured party. (g)

At Closing Seller will have obtained all consents and permissions related to the transactions herein contemplated and required under any covenant, agreement, encumbrance, or applicable laws, except those which would not have a material adverse effect on the Property. Consents and Permissions. Buyer has the capacity and authority to enter into this Letter Agreement and consummate the transactions herein provided without the consent or joinder of any other party. Neither this Letter Agreement nor any agreement, document or instrument executed or to be executed in connection with the same, does now or shall hereafter breach, violate, invalidate, cancel, make inoperative or interfere with, or result in the acceleration or maturity of, any agreement, document, instrument, right or interest, or applicable law affecting or relating to Buyer, except those which would not have a material adverse effect on the ability of Buyer to perform its obligations under this Letter Agreement or to consummate this transaction. Buyer’s representations and warranties contained in this paragraph 4(n)(ii) shall survive the Closing for a period of 12 months, and any claim for breach of any representation or warranty of Seller set forth in this paragraph 4(n)(ii) will be forever barred unless Seller gives Buyer specific written notice of such claim within such 12 month period.

Company agrees to defend, indemnify and hold harmless Lock and Key and ABC, and their respective parent, subsidiary and affiliated companies, personnel and entities, from and against any claim, liability or expense (including reasonable attorney’s fees) arising from any such use or the breach of any representation contained herein. Upon notification by Lock and Key or ABC of any violation of the terms and conditions of this agreement, and without limitation or waiver of any other remedies available to Lock and Key and ABC, Company shall immediately use its best efforts to come into full compliance with this agreement. In the event of any breach or alleged breach of this agreement by Lock and Key, Company acknowledges that its sole remedy shall be an action for damages and that under no circumstances shall it seek or be entitled to injunctive relief.
