Common use of Consents and Filings Clause in Contracts

Consents and Filings. No consent, authorization, permit or filing is required in connection with the execution, delivery and performance of this Credit Agreement or any other Credit Document by any Credit Party or any Subsidiary of any Credit Party which are parties thereto, or in connection with the continuing operations of such Persons, except (i) those that have been obtained or made and (ii) filings necessary to create, perfect or retain the perfection of Liens granted by the respective Credit Parties in favor of the Agent on the Collateral.

Consents and Filings. No consent, authorization, permit or filing is required in connection with the execution, delivery and performance of this Credit Agreement or any other Credit Document by the Guarantor, any Credit Party of the Borrowers or any Subsidiary of any Credit Party their respective Subsidiaries which are parties thereto, or in connection with the continuing operations of such Persons, except (i) those that have been obtained or made and (ii) filings necessary to create, perfect or retain the perfection of Liens granted by the respective Credit Parties in favor of the Agent on against the Collateral.

No consent, authorization, permit approval or filing is required in connection with the execution, delivery and performance of this Credit Agreement or any other Credit Document by any Credit Party or any Subsidiary of any Credit Party which are parties theretoDocument, or in connection with the continuing operations of such Persons, except Credit Party except: (i) those that have been obtained or made and made; (ii) filings necessary to create, perfect or retain the perfection of Liens granted by against the respective Credit Parties Collateral; and (iii) in favor the case of the Agent on continuing operations of such Credit Party, those the Collateralfailure to obtain could not have a Material Adverse Effect.
