Consents and authorisations. (a) All authorisation, exemptions and other matters required by it in connection with the entry into, performance, validity and enforceability of, and the transactions contemplated by, the Finance Documents have been obtained or effected or will be obtained or effected prior to the date required by law.
Consents and authorisations. The Borrower will obtain:
Consents and authorisations without prejudice to clauses 2.2 and 4, obtain or cause to be obtained, maintain in full force and effect and comply in all material respects with the conditions and restrictions (if any) imposed in, or in connection with, every consent, authorisation, licence or approval of governmental or public bodies or authorities or courts and do, or cause to be done, all other acts and things, which in each case may from time to time be necessary or desirable under applicable law for the continued due performance of all of any Relevant Party's obligations under each of the Relevant Documents;
Consents and authorisations any consent, authorisation, licence or approval of, or registration with or declaration to, governmental or public bodies or authorities or courts required by the Borrower or any other Security Party to authorise, or required by the Borrower or any other Security Party in connection with, the execution, delivery, validity, enforceability or admissibility in evidence of any of the Security Documents or the performance by the Borrower or any such Security Party of its obligations under any of the Security Documents is modified in a manner unacceptable to the Bank or is not granted or is revoked or terminated or expires and is not renewed or otherwise ceases to be in full force and effect; or
Consents and authorisations that you have obtained, and will maintain in effect, all necessary consents, approvals, authorisations, exemptions, licences, notifications and filings to enable you to enter into and perform your duties under the Agreement and each Transaction (if any);
Consents and authorisations any consent, authorisation, licence or approval of, or registration with or declaration to any person required by the Borrower to authorise, or required by the Borrower in connection with, the execution, delivery, legality, validity, priority, enforceability, admissibility in evidence or effectiveness of this Agreement or any other Relevant Document or the performance by the Borrower of any of its material obligations thereunder is modified in a manner which is, will or is likely to be materially prejudicial to the rights, interests or position of the Lenders or is not granted or is revoked, withdrawn or terminated or expires or is not renewed or otherwise ceases to be in full force and effect in each case as a result of an act or omission of the Borrower and such modification, failure to grant, revocation, withdrawal, termination, expiry, non-renewal or cessation, if capable of remedy, is not remedied within fifteen(15) Business Days of the occurrence thereof; or
Consents and authorisations obtain or cause to be obtained (i) every consent, authorisation, licence (other than a Licence or a renewal or extension thereof) or approval of, or registration with or declaration to, governmental or public bodies or authorities or courts and (ii) every notarisation, filing, recording, registration or enrolment in any court or public office in the United Kingdom (in any such case) required by any TCN Entity or Telewest to authorise the execution, delivery, validity, enforceability or admissibility in evidence of this Agreement and the Security Documents or the performance by any TCN Entity or Telewest of their respective obligations under this Agreement and the Security Documents to which they are a party;
Consents and authorisations without prejudice to paragraph 4 of Part 1 of schedule 1, obtain or cause to be obtained, maintain in full force and effect and comply in all material respects with the conditions and restrictions (if any) imposed in, or in connection with, every consent, authorisation, licence or approval of governmental or public bodies or authorities or courts and do, or cause to be done, all other acts and things, which may from time to time be necessary under any applicable laws in the State of Registration for the continued due performance of all its obligations under each of the Lessee Documents;
Consents and authorisations obtain or cause to be obtained (i) every consent, authorisation, licence or approval of, or registration with or declaration to, governmental or public bodies or authorities or courts and (ii) every notarisation, filing, recording, registration or enrolment in any court or public office in the United Kingdom and the United States of America (in any such case) required by it to authorise the execution, delivery, validity, enforceability or admissibility in evidence of the Finance Documents to which it is a party or the performance by it of its respective obligations under Finance Documents to which it is a party;
Consents and authorisations. No consent, approval, authorisation or order of any court or government or local agency or body or any other person is required by him/her/it for the execution or implementation of this Agreement and compliance with the terms of this Agreement, other than the consents of the Relevant Regulators specified in the conditions precedent set out in Clause 4.1.1.
