Consent to Entry. Property Owner does hereby give its consent to the City and its authorized agents to enter into and upon the Property at reasonable times and places without prior notice for the purposes of abatement of Graffiti as that term is defined in the Graffiti Code as now or hereafter amended. Such consent is limited to abatement of Graffiti upon exterior surfaces of any buildings, structures or other improvements located on the Property, including by way of example and not limitation, walls, rocks, bridges, buildings, fences, gates and trees. Abatement of glass graffiti is excluded. The City is authorized to use reasonable means to xxxxx the graffiti including, by way of example and not limitation, painting over the graffiti or removal of graffiti. This consent is not intended to be and shall not be construed to create a legal obligation or duty upon the City or its agents to exercise its rights under this agreement to xxxxx Graffiti upon the Property, and such responsibility shall remain with the Property Owner.
Consent to Entry. Tenant hereby grants Landlord the right to have any of its agents, janitors, or other employees or representatives, including those related to pest control services or repair services, enter the Leased Unit at any time for the purpose of maintaining the Leased Unit, inspecting the Leased Unit, showing the Leased Unit to prospective purchasers, or for any other emergency-related purposes. Landlord will inspect the condition of the Leased Unit from time to time as necessary. If the Leased Unit is not in reasonably good condition, Landlord may, at its option, deem Tenant to be in default under the terms of this Lease. Landlord will, in non-emergency situations, attempt to give advance notice of entry to Tenant when practicable, but Landlord shall not be required to give advance notice of entry.

  • Consent to Collateral Assignment Subject to the provisions of this Section 9.05, Seller may (but is not obligated to) assign this Agreement as collateral to a Lender for any financing or refinancing of the Generating Facility, including a Sale-Leaseback Transaction or Equity Investment and, in connection therewith, Buyer shall in good faith work with Seller and Lender to agree upon a consent to a collateral assignment of this Agreement or to a Sale-Leaseback Transaction or Equity Investment, as applicable (“Collateral Assignment Agreement”). The Collateral Assignment Agreement shall be in form and substance reasonably agreed to by Xxxxx, Seller and Lender, and shall include, among others, the following provisions (together with such other commercially reasonable provisions required by any Lender that are reasonably acceptable to Buyer):

  • Consent to Breach Not Waiver No term or provision of this Contract shall be deemed waived and no breach excused, unless such waiver or consent shall be in writing and signed by the party claimed to have waived or consented. Any consent by any party to, or waiver of, a breach by the other, whether express or implied, shall not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

  • Consent to Electronic Delivery You agree that we may deliver all notices, tax reports and other documents and information to you by email or another electronic delivery method we choose. You agree to tell us right away if you change your email address or home mailing address so we can send information to the new address.

  • Assignment with Prior Consent Except as provided in Section 12.2 to this Appendix 2, no Interconnection Party shall assign its rights or delegate its duties, or any part of such rights or duties, under the Interconnection Service Agreement without the written consent of the other Interconnection Parties, which consent shall not be unreasonably withheld, conditioned, or delayed. Any such assignment or delegation made without such written consent shall be null and void. An Interconnection Party may make an assignment in connection with the sale, merger, or transfer of a substantial portion or all of its properties including the Interconnection Facilities which it owns, so long as the assignee in such a sale, merger, or transfer assumes in writing all rights, duties and obligations arising under this Interconnection Service Agreement. In addition, the Interconnected Transmission Owner shall be entitled, subject to Applicable Laws and Regulations, to assign the Interconnection Service Agreement to any Affiliate or successor that owns and operates all or a substantial portion of the Interconnected Transmission Owner’s transmission facilities.

  • Consent to Arbitration 1. Each Party consents to the submission of a claim to arbitration in accordance with the procedures set out in this Agreement.

  • Consent to Electronic Delivery of Documents The Adviser hereby acknowledges and agrees to the Sub-Adviser delivering communications and documents by electronic means rather than traditional mailing of paper copies. By consenting to the electronic delivery of all information relating to the Account, the Adviser authorizes the Sub-Adviser to deliver all communications by e-mail address specified by the Adviser. The Adviser acknowledges possessing the technical ability and resources to receive electronic delivery of documents. The Adviser further consents that the Sub-Adviser may provide in any electronic medium (including via e-mail) any disclosure or document that is required by applicable securities laws to be provided by the Sub-Adviser. The consent granted herein will last until revoked by the Adviser.

  • Privacy Consent; Consent to Publication of Agreement Contributor consents to the OpenID Privacy Policy and also agrees that OIDF may publish a copy of this Agreement as signed by Contributor via posting on the OIDF publicly-accessible website, and Contributor consents to such publication. If Contributor is a Legal Entity Contributor, it also represents that it has obtained appropriate consent under applicable law from all individuals listed in this Agreement to the publication of this Agreement and their personal information listed herein. The parties have formed this Agreement as of the Effective Date.
