Consent Orders. Buyer and Seller agree to cooperate with each other and NYSDEC to facilitate the entry of a consent order between NYSDEC and Buyer, wherein Buyer will agree to assume and perform the Assumed Consent Order Obligations.

Consent Orders. The Reorganized Debtors and OSMRE shall negotiate in good faith such consent orders as OSMRE shall deem necessary or appropriate to embody the terms of the Reclamation Schedule.
Consent Orders. The Control Authority is hereby empowered to enter into Consent Orders, assurances of voluntary compliance, or similar documents establishing an agreement with the Industrial User responsible for the noncompliance. Such orders will include specific action to be taken by the Industrial User to correct the noncompliance within a time period also specified by the order. Consent Orders shall have the same force and effect as compliance orders issued pursuant to Section 7.1.2(d) below.

Consent Orders this is where your written agreement is filed with the Family Law Courts and once approved by a Registrar of the Court, it is made into a binding Order. It usually takes between 3 and 8 weeks for the agreement to be assessed by the Registrar. In order to get the Registrar’s approval, the terms of the agreement must be within the realms of what a Court would order if it was asked to determine the property settlement. Technically, either party can withdraw their consent from the Consent Order within 28 days from the date the Consent Order is made and in that case the Court is obliged to set the Order aside. If the other party breaches the Consent Order, then you may issue enforcement proceedings in Court. It is arguably quicker, easier and cheaper to enforce Consent Orders than it is to enforce the terms of a Financial Agreement;
Consent Orders. Seller is party to a Consent Order (the "Consent Order") in the Matter of United States of America v. Chandler Associates, et al., Civil Action No. 97-0000(XXX), entered by the United District Court for the District New Jersey. A copy of the Consent Order has been furnished to Buyer. Seller has also agreed to the form of a Supplemental Consent Order in the same matter which will be entered prior to Closing, a copy of which has also been furnished to Buyer. Buyer agrees that from and after the Closing, until the expiration of the Consent Orders on June 30, 2000, Buyer shall perform all of the obligations under the Consent Orders to be performed by the Defendants named therein. Seller warrants and represents to Buyer that all the obligations under the Consent Orders to be performed by the Defendants named therein have been fully performed to date; and shall continue to be fully performed up to and including the Closing Date. Buyer agrees to indemnify and hold harmless Seller and the Defendants named in the Consent Orders from and on account of any and all liability, costs and expenses, including reasonable attorneys fees, arising out of Buyer's failure to perform its obligations under this Section 15. Seller agrees to indemnify and hold harmless Buyer from an account of any and all liability, costs and expenses, including reasonable attorneys' fees, arising out of Seller's breach of the warranty and representation regarding performance on or prior to the Closing Date of the Defendants' obligations under the Consent Orders contained in this Section 15.

Consent Orders. Borrower shall comply with and/or shall cause each Subsidiary Bank to comply with all terms and conditions set forth in: (a) the Consent Orders dated as of September 2, 2008 and September 3, 2008 respectively, issued by the Comptroller of the Currency, and consented to by Subsidiary Banks (collectively, the “Consent Orders”) including but not limited to, the required minimum capital levels described in Article III of the Consent Orders; and (b) any enforcement agreement entered into by Borrower and The Board of Governors of The Federal Reserve System (each, a “Federal Reserve Agreement”); provided that the terms and conditions of any Federal Reserve Agreement must be substantially similar to the terms and conditions of the Consent Orders. The failure by Subsidiary Banks to comply with the terms and conditions of the Consent Orders or the failure by Borrower to comply with the terms and conditions of any Federal Reserve Agreement shall be an event of default under this Agreement”.
