Common use of Conflicts Clause in Contracts

Conflicts. The execution and entry into this Agreement, the execution and delivery of the documents and instruments to be executed and delivered by Seller at the Closing, and the performance by Seller of Seller’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the full consummation of the purchase and sale of the Property as contemplated herein, are consistent with and not in violation of, and will not create any adverse condition under any contract, agreement or other instrument to which Seller is a party, or any judicial order or judgment of any nature by which Seller is bound. At Closing, all necessary and appropriate action will have been taken by Seller authorizing and approving the execution of and entry into this Agreement, the execution and delivery by Seller of the documents and instruments to be executed by Seller at Closing, and the performance by Seller of Seller’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the consummation of the purchase and sale of the Property as contemplated herein.

Conflicts. The execution and entry into this Agreement, the execution and delivery of the documents and instruments to be executed and delivered by Seller Buyer at the Closing, and the performance by Seller Buyer of SellerBuyer’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the full consummation of the purchase and sale of the Property as contemplated herein, are consistent with and not in violation of, and will not create any adverse condition under any contract, agreement or other instrument to which Seller Buyer is a party, or any judicial order or judgment of any nature by which Seller Buyer is bound. At Closing, all necessary and appropriate action will have been taken by Seller Buyer authorizing and approving the execution of and entry into this Agreement, the execution and delivery by Seller Buyer of the documents and instruments to be executed by Seller Buyer at Closing, and the performance by Seller Buyer of SellerBuyer’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the consummation of the purchase and sale of the Property as contemplated herein.

At Closing, all necessary and appropriate action will have been taken by Seller Xxxxx authorizing and approving the execution of and entry into this Agreement, the execution and delivery by Seller Xxxxx of the documents and instruments to be executed by Seller Buyer at Closing, and the performance by Seller Xxxxx of SellerBuyer’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the consummation of the purchase and sale of the Property as contemplated herein.

At Closing, Closing all necessary and appropriate action will have been taken by Seller Purchaser authorizing and approving the execution of and entry into this Agreement, the execution and delivery by Seller Purchaser of the documents and instruments to be executed by Seller Purchaser at Closing, Closing and the performance by Seller Purchaser of Seller’s Purchaser's duties and obligations under this Agreement and of all other acts necessary and appropriate for the consummation of the purchase and sale of the Property as contemplated herein.

Conflicts. The execution and entry into this Agreement, the execution and delivery of the documents and instruments to be executed and delivered by Seller at on the Closing, Closing Date and the performance by Seller of Seller’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the full consummation of the purchase and sale of the Property Membership Interests as contemplated herein, are consistent with and not in violation of, and will not create any adverse condition under of any contract, agreement or other instrument to which Seller or the Company is a party, or any judicial order or judgment of any nature by which Seller or the Company is bound. At ClosingOn the Closing Date, all necessary and appropriate action will have been taken by Seller authorizing and approving the execution of and entry into this Agreement, the execution and delivery by Seller of the documents and instruments to be executed by Seller at Closingon the Closing Date, and the performance by Seller of Seller’s duties and obligations under this Agreement and of all other acts necessary and appropriate for the consummation of the purchase and sale of the Property Membership Interests as contemplated herein.
