The Executive represents and warrants that he is not subject to agreement or contractual commitment that prevents or in any way limits his ability to fully discharge his duties and responsibilities hereunder and that he is not in possession of any confidential or proprietary information of another Person that will be used in connection with the discharge of his duties hereunder. The Executive acknowledges and agrees that the accuracy of the foregoing representation and warranty is a condition precedent to the enforceability of the Company’s obligations hereunder.

The Executive acknowledges and agrees that the accuracy of the foregoing representation and warranty is a condition precedent to the enforceability of the Company’s obligations hereunderunder this Agreement.

Executive agrees to fully discharge his duties and responsibilities hereunder and that he is not in possession inform the Employer of any confidential or apparent conflicts between Executive's work for the Employer and any obligations Executive may have to preserve the confidentiality of another's proprietary information of another Person that will be used or related materials before using the same on the Employer's behalf. The Employer shall receive such disclosures in connection confidence and consistent with the discharge objectives of his duties hereunder. The Executive acknowledges avoiding any conflict of obligations and agrees that rights or the accuracy appearance of the foregoing representation and warranty is a condition precedent to the enforceability any conflict of the Company’s obligations hereunderinterest.
