Confirmation of Ownership. Whenever requested by LICENSOR, whether during the Licensed Term or thereafter, LICENSEE shall execute such documents or applications as LICENSOR may deem necessary to confirm LICENSOR’S ownership of all their rights, to maintain the validity of the Marks and the copyright(s) referred to above in Section 7.2, and to obtain, or maintain any registration thereof.

The parties hereby agree and confirm that, as between the parties, HP retains for itself all right, title and interest in and to the HP Owned ICBD Technology (except for any licenses expressly granted in Article III) and that no transfer or assignment of ownership rights is intended by the parties. Such access and copying shall be in accordance with a reasonable request and schedule to be mutually agreed upon between Agilent and HP. All costs associated with the assembling, copying and delivering of the HP Owned ICBD Technology shall be borne by HP (except for the value of the time of Agilent employees). HP shall respond to reasonable requests by Agilent concerning whether a particular HP ICBD Product will continue to be manufactured by Agilent.

The Company hereby confirms that ------------------------- the number of shares of Common Stock set forth opposite each Shareholder's name on Annex A hereto has been validly issued to such Shareholder and is fully paid and nonassessable. Each Shareholder hereby confirms and agrees that as of the date of this Agreement the number of shares of Common Stock and options to purchase Common Stock set forth opposite such Shareholder's name on Annex A hereto is such Shareholder's entire equity interest in the Company and that any and all agreements heretofore entered into by such Shareholder with the Company contemplating the issuance of Common Stock or other equity interest in the Company to such Shareholder are no longer in effect.

Lessee may, at its expense, obtain executed and acknowledged instruments and such other documents as Lessee or Lessee’s title company may require to confirm Lessor’s ownership of the Premises or to complete or evidence the full granting of the leasehold interest in the Project Site as intended by this Agreement.
