Confirmation and Assumption of Obligations. (a) On or before August 15, 2005, Purchaser shall notify Seller in writing which of the contracts and agreements listed on Exhibit C Purchaser elects, in its sole discretion, will be included in the definition of Service Contracts and therefore will be assigned to and assumed by Purchaser at the Closing. All such contracts and agreements not so designated by Purchaser will not be included in the term Service Contracts and Purchaser shall have no liability or responsibility for the same.

The Company hereby confirms its obligations in respect of the due and punctual payment of the principal of, premium, if any, and interest on all of the Securities as applicable, and the performance or observance of every covenant of the Indenture to be performed or observed by the Company.
