(a) Unless we are permitted to do otherwise under this contract, we will use and otherwise deal with your information and keep it confidential, subject to and consistent with our privacy policy. CONFIDENTIALITY OF YOUR INFORMATION. Subject to Section 5 above, we will use reasonable efforts to maintain in confidence, and to not disclose to third parties (except to other UL Companies and subcontractors as necessary to perform Services), information that we obtain in confidence from you (“Confidential Information”) without your written consent. Confidential Information, however, does not include information that is (a) already known to us (other than information obtained pursuant to a prior agreement for services); (b) publicly available; or (c) subsequently acquired by us from other sources in a manner that does not constitute a breach of this ULE Agreement. Moreover, we may disclose Confidential Information when (i) deemed in our discretion, to be in the interest of public safety; (ii) required to be produced pursuant to an order or command of any judicial, regulatory, or accreditation authority; or (iii) required by any common law or statutory duty. We will take reasonable efforts to safeguard Confidential Information within our systems before external transmission and may transmit your Confidential Information and data to you through the Internet or any public network, unless otherwise directed in writing by you.
CONFIDENTIALITY OF YOUR INFORMATION. Maven takes your privacy seriously. All information that Xxxxx acquires about you through your participation in the Maven Network, including your membership in the Maven Network, the subjects of your consultations and similar information, is considered by Maven to belong to Maven, to you, and if applicable, to Xxxxx’s client(s). Xxxxx’s privacy technology provides to you the option to affirmatively disclose certain aspects of this information to Xxxxx’s clients. It is solely your responsibility to use Xxxxx’s privacy technology in a manner appropriate for your purposes. You hereby grant Maven a worldwide, perpetual, royalty-free, fully paid-up, irrevocable, exclusive, sub-licensable, transferable license (a “License”) to use any and all non-personally identifiable transaction data derived by us during the term of this agreement and thereafter from your participation in the Maven Network. You also hereby grant to us a License to aggregate, compile and analyze any and all non-personally identifiable transaction data derived by us during the term of this agreement and thereafter from your participation in the Maven Network with data of other Members, clients and/or other users and to create derivative works therefrom. We will not sell, license or provide to any person (other than you) any transaction data that directly or indirectly identifies you without your prior written consent. Other than as set forth above, Maven will not disclose or make available to any person, directly or indirectly, any confidential information with respect to your membership in the Maven Network without first obtaining your consent, unless it is legally compelled to do so pursuant to a court order or otherwise. You are an Independent Contractor. Your participation in consultations and surveys shall be performed as an independent contractor, and you are not and shall not be deemed to be an employee or agent of Maven or any of Maven’s clients. You and Maven shall not have any authority to bind each other to any obligation or liability. You shall not be entitled to any benefits provided by Maven to its employees, and Maven will not make any deductions from any of the payments due to you for tax or social security deduction purposes or similar purposes. You agree that you shall be personally responsible for any and all taxes and other charges due on payments received by you.
CONFIDENTIALITY OF YOUR INFORMATION. All information which TELUS has about you is confidential except your name, address and telephone number listed in telephone directories distributed for TELUS, and your name, address and telephone number available through directory assistance. For an additional charge, you may request that your name, address and telephone number not be published, in which case your name, address and telephone number will not be listed in any new TELUS telephone directory and will not be available through TELUS directory assistance. You may request that TELUS block the recording or display of your name, address and telephone number on equipment used by other TELUS customers and other telecommunications customers. TELUS will not charge you for call blocking activated on a per-call basis. For the purposes of disclosure of confidential customer information, the customer is the person or business whose name appears on a TELUS bill. If the customer is an incorporated company, the customer is the company or any person who in the reasonable judgement of TELUS is an agent of the company authorized to receive and consent to release of confidential information. TELUS may also release to a law enforcement agency the identity of the service provider, but not the name of the customer, associated with a specific telephone number. Unless you provide express consent or disclosure is pursuant to a legal power, all information kept by TELUS in your regard, other than your name, address and listed telephone number, is confidential and may not be disclosed by TELUS to anyone other than: you; a person who, in the reasonable judgement of TELUS, is seeking the information as your agent; another telephone company, provided the information is required for the efficient and cost effective provision of telephone services and disclosure is made on a confidential basis with the information to be used only for that purpose; a company involved in supplying you with telephone or telephone directory related services, provided the information is required for that purpose and disclosure is made on a confidential basis with the information to be used only for that purpose; an agent retained by TELUS to evaluate your creditworthiness or in the collection of your account, provided the information is required for and is to be used for that purpose; or a public authority or agent of a public authority, if in the reasonable judgement of TELUS it appears that there is imminent danger to life or property which could...
CONFIDENTIALITY OF YOUR INFORMATION. All information that Maven acquires about you through your use of the Services, including your identity and the subjects of your interactions is considered by Maven to be confidential information. Maven’s technology provides to you the option to disclose some of this information to other users. It is solely your responsibility to use such technology in a manner appropriate for your purposes. By using Maven, you give Maven a worldwide license to collect, use, store, reproduce, modify, publish, distribute, and create derivative works from any and all non-personally identifiable transaction data derived by us during the term of this agreement and thereafter from your use of the Services for purposes of facilitating your use of the Services, operating, promoting or improving our Services or developing new ones. We will not sell, license or provide to any person (other than you) any transaction data that directly or indirectly identifies you without your prior written consent. Other than as set forth above, Maven will not disclose or make available to any third party, directly or indirectly, any of your confidential information, except in furtherance of your use of the Services, to enforce this Agreement or if legally compelled to do so; provided, that you acknowledge and consent that we may use your name (or an anonymized version thereof), a reproduction of your logo (if applicable) and a brief description of your matters (provided such matters are anonymized or non- confidential) in our marketing materials and on our website.
CONFIDENTIALITY OF YOUR INFORMATION. Notwithstanding any other provision of this Agreement, unless you provide express consent or disclosure is made pursuant to a legal power, all information regarding you or your business, including without limitation all information regarding your clients, that is kept or obtained by Watsec is confidential and may not be disclosed by Watsec to anyone other than: (i) you; (ii) a person who, in our reasonable judgment, is seeking the information as your agent; or (iii) an agent retained by us in the collection of your account or to perform other administrative functions for us, provided the information is required for and used only for that purpose. Express consent may be taken to be given by you where you provide: (i) written consent;
CONFIDENTIALITY OF YOUR INFORMATION. You agree and consents to us sharing your information and data with UL’s subsidiaries, affiliates, subcontractors or third parties, in order for us to: (i) perform the CCA Certification Program services; or (ii) act in the interest of public safety. You further represents and warrants that all information and data provided to us by you are properly owned or licensed by you, do not infringe upon the intellectual property rights of any third party, and that you are allowed to provide such information to us without restriction. We agree not to voluntarily disclose secret information obtained in confidence from you to third parties without your prior written authorization unless the information is already known to us, publicly available, or subsequently acquired from other sources. Disclosure of such information is also allowed when required by law; in such cases, you will be informed of the disclosure as permitted by law.
