Common use of Confidentiality of Information Clause in Contracts

Confidentiality of Information. Each party recognizes that, in connection with this Agreement, it may become privy to non-public information regarding the financial condition, operations and prospects of the other party. Except as required to be disclosed by law, each party agrees to keep all non-public information regarding the other party strictly confidential, and to use all such information solely in order to effectuate the purpose of this Agreement.

Confidentiality of Information. Each party recognizes that, in connection with this Agreement, it may become privy to non-public information regarding the financial condition, operations and prospects of the other party. Except as required to be disclosed by lawlaw (including, without limitation, upon the request or demand of any official creditors' committee in the Chapter 11 Cases), each party agrees to keep all non-public information regarding the other party strictly confidential, and to use all such information solely in order to effectuate the purpose of this Agreement.

Except as required to be disclosed by law, each party agrees to keep all non-public information regarding the other party strictly confidential, and to use all such information solely in order to effectuate the purpose of this Agreement; provided, however, the Trustee and Master Servicer may disclose on a confidential basis any such information to its agents, auditors and attorneys in connection with its performance of its responsibilities hereunder and under the Pooling and Servicing Agreement.
