To the Knowledge of Seller, no officer or employee of Seller is a party to, or is otherwise bound by, any written agreement or arrangement with any Person (other than with Seller or Parent), including any confidentiality, noncompetition or proprietary rights agreement, that has, had or will have an Adverse Effect on: (1) the performance of his or her duties as an officer or employee of Seller or (2) the ability of Seller to conduct its Business.
