Confidentiality and Information Sharing. (a) Pending Closing, and subject to Section 6.3(b), each Party shall maintain in confidence, and, as applicable, shall cause its directors, officers, employees and representatives to maintain in confidence, and use only for the purposes contemplated by this Agreement, all written, oral or other information obtained from the other Party pursuant to this Agreement relating to (i) the Company and the Business, (ii) the other Combining Companies and (iii) the Registration Statement and IPO.
Confidentiality and Information Sharing. 7.1 PROVIDER and OHCA agrees that SoonerCare member information is confidential pursuant to 42 U.S.C. § 1396a(a)(7) and 42 C.F.R. § 431:300-306. PROVIDER shall not release the information governed by these Medicaid requirements to any entity or person without proper authorization.

The parties to this Agreement agree to keep the financial terms of the transactions contemplated hereby confidential and will limit disclosure of such information (i) to professional advisors, and (ii) as required for the filing of tax returns; provided that CGSY may announce such transactions pursuant to a press release to be mutually agreed upon and make such other filings with the Securities and Exchange Commission as its counsel may deem necessary or advisable for purposes of complying with CGSY’s public disclosure obligations.

Each service will ensure that the highest professional standards are maintained in relation to confidentiality, and any information sharing will have the appropriate informed consent. In this regard, all relevant personnel will be cognisant of the requirements under Children First, HSE Safeguarding Vulnerable Persons at Risk of Abuse policy and other obligations in relation to freedom of information and data protection.
