Common use of Confidentiality; Access to Information Clause in Contracts

Confidentiality; Access to Information. (a) The parties acknowledge that the Company and Parent have previously executed that certain confidentiality agreement dated December 17, 2007, between the Company and Parent, as amended to date (the “Confidentiality Agreement”), which Confidentiality Agreement will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that Parent and the Company and Parent have previously executed that certain a mutual confidentiality agreement agreement, dated December 17as of June 22, 2007, between the Company and Parent, as amended to date 2006 (the “Confidentiality Agreement”), which Confidentiality Agreement will continue in full force and effect in accordance with its terms, and each of Parent and the Company will hold, and will cause their respective directors, officers, employees, agents and advisors (including attorneys, accountants, consultants, bankers, and financial advisors) to hold any Information (as defined in the Confidentiality Agreement) confidential in accordance with the terms thereof.

(a) The parties acknowledge that Parent and the Company and Parent have previously executed that certain confidentiality agreement a letter agreement, dated December 17as of September 22, 2007, between the Company and Parent, as amended to date 2005 (the “Confidentiality Agreement”), which Confidentiality Agreement will continue in full force and effect in accordance with its terms, and each of Parent and the Company will hold, and will cause their respective directors, officers, employees, agents and advisors (including attorneys, accountants, consultants, bankers, and financial advisors) to hold any Confidential Information (as defined in the Confidentiality Agreement) confidential in accordance with the terms thereof.

(a) The parties hereto acknowledge that the Parent and the Company and Parent have previously executed that certain a confidentiality agreement agreement, dated December 17as of August 3, 2007, between the Company and Parent, as amended to date 2009 (the “Confidentiality Agreement”), which Confidentiality Agreement will shall continue in full force and effect in accordance with its terms, except as expressly modified herein.

(a) The parties acknowledge that the Company and Parent have previously executed that certain confidentiality agreement a Confidentiality Agreement, dated December 17as of August 6, 2007, between the Company and Parent, as amended to date 2003 (the “Confidentiality Agreement”), which Confidentiality Agreement will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that Parent and the Company and Parent have previously executed that certain confidentiality agreement a letter agreement, dated December as of June 1, 2006 as amended by the Amendment executed by Parent on October 17, 2007, between 2006 and by the Company and Parenton October 19, as amended to date 2006 (the “Confidentiality Agreement”), which Confidentiality Agreement will continue in full force and effect in accordance with its terms, other than those provisions of the Confidentiality Agreement, which are superseded by Section 5.4.

(a) The parties acknowledge that Parent and the Company and Parent have previously executed that certain confidentiality agreement a letter agreement, dated December as of June 1, 2006 as amended by the Amendment executed by Parent on October 17, 2007, between 2006 and by the Company and Parenton October 19, as amended to date 2006 (the “"Confidentiality Agreement”"), which Confidentiality Agreement will continue in full force and effect in accordance with its terms, other than those provisions of the Confidentiality Agreement, which are superseded by Section 5.4.

(a) The parties acknowledge that the Company and Parent have previously executed that certain confidentiality agreement dated December 17, 2007, between the Company and Parent, as amended to date (the “a Confidentiality Agreement”, dated as of July 12, 1999 and that Parent and Title have previously executed a Confidentiality Agreement, dated as of [_________], 1999 (collectively, the "CONFIDENTIALITY AGREEMENTS"), which Confidentiality Agreement Agreements will continue in full force and effect in accordance with its their terms.
