(a) The parties acknowledge that Company and Parent have previously executed a Confidentiality Agreement, dated as of November 24, 1999 (the "Confidentiality Agreement"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that the Company and Parent have previously executed a Confidentiality Agreement, dated as of November 24April 1, 1999 (the "Confidentiality Agreement"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that the Company and Parent have previously executed a the mutual Confidentiality Agreement, dated as of November 24December 21, 1999 2000 (as supplemented by a letter agreement dated August 16, 2001) between the Company and Parent, the "Confidentiality Agreement"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that the Company and Parent have previously executed a that certain Confidentiality Agreement, Agreement dated as of November 24June 3, 1999 2004 (the "Confidentiality AgreementCONFIDENTIALITY AGREEMENT"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that Company and Parent have previously executed a Confidentiality Agreement, dated as of November 24May 6, 1999 2005 (the "Confidentiality Agreement"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that the Company and Parent have previously executed a Confidentiality Agreement, dated as of November 24January 14, 1999 2000 (the "Confidentiality AgreementCONFIDENTIALITY AGREEMENT"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

The parties acknowledge that Company and Parent have previously executed a mutual Confidentiality Agreement, dated as of November 24January 22, 1999 2002 (the "Confidentiality AgreementCONFIDENTIALITY AGREEMENT"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.

(a) The parties acknowledge that Company and Parent have previously executed a Confidentiality Agreement, dated as of November 24August 6, 1999 2003 (the "Confidentiality AgreementCONFIDENTIALITY AGREEMENT"), which Confidentiality Agreement (except for paragraph 10 thereof, which shall be superseded in its entirety by the provisions of this Agreement) will continue in full force and effect in accordance with its terms.
