Confidential Information and Return of Property. “Confidential Information” means any written, oral, or other information obtained by Executive in confidence from Employer, or any of its affiliates, including without limitation information about their respective operations, financial condition, business commitments or business strategy, as a result of Executive’s employment with Employer unless such information is already publicly known through no fault of any person bound by a duty of confidentiality to Employer or any of its affiliates. Executive will not at any time, during or after Executive’s employment with Employer, directly or indirectly disclose Confidential Information to any person or entity other than authorized officers, directors and employees of Employer. Executive will not at any time, during or after Executive’s employment with Employer, in any manner use Confidential Information on behalf of himself or any other person or entity other than Employer, or accept any position in which Executive would have a duty to any person to use Confidential Information against the interests of Employer or any of its affiliates. Upon termination of Executive’s employment for any reason, Executive will promptly return to Employer all property of Employer, including documents and computer files, especially where such property contains or reflects Confidential Information. Nothing in this Agreement shall be interpreted or shall operate to diminish such duties or obligations of Executive to Employer that arise or continue in effect after the termination of Executive’s employment hereunder, including without limitation any such duties or obligations to maintain confidentiality or refrain from adverse use of any of Employer’s trade secrets or other Confidential Information that Executive may have acquired in the course of Executive’s employment.

Confidential Information and Return of Property. The Agency and the Consultant acknowledge that services under this Agreement are for the benefit of the Agency and agree that the Consultant shall have no right, title or interest in any records and/or confidential information relating to the company, its officers, employees, contractors, or its customers. The Agency and the Consultant further agree that during the Term of this Agreement and after its termination for any reason, the Consultant shall not divulge to others or use for his/her own benefit or the benefit of others confidential information which may be acquired in the course of providing services under this Agreement. The Consultant recognizes and acknowledges that the list of the Agency’s house accounts, as it may exist from time to time, is a valuable, special and unique asset of the Agency’s business. The Consultant will not, during or after the term of this Agreement, disclose the list of the Agency’s accounts or any part thereof to any person, firm, corporation, association, or any other entity for any reason or purpose whatsoever. In the event of a breach or threatened breach by the Consultant of the provisions of this paragraph, the Agency shall be entitled to an injunction restraining the Consultant from disclosing, in whole or in part, the list of the Agency’s accounts, or from rendering any services to any person, firm, corporation, association or other entity to whom such list, in whole or in part, has been disclosed or is threatened to be disclosed. Nothing herein shall be construed as prohibiting the Agency from pursuing any other remedies available to the Agency for such breach or threatened breach, including the recovery of damages from the Consultant. All memoranda, notes, lists, records (financial or otherwise), files and other documents (and all copies thereof) made available to the Consultant during the term of this Agreement concerning the business of the Agency or of any of its subsidiaries or affiliates are and shall be the Agency’s property, the use of which is available to the Consultant solely pursuant to a limited non-exclusive license granted by this Agreement, and shall be delivered to the Agency promptly upon the termination of this Agreement, for any reason, or at any other time upon request by the Agency.
