Conference Facility. The Building conference facility shall be a part of the Common Areas and shall be available for use by Tenant in common with other tenants of the Building in accordance with the rules and regulations and procedures adopted by Landlord from time to time. Landlord may impose a fee for use of the conference facility to cover the costs of set up and clean up. All costs incurred by Landlord in connection with the conference facility, including the cost of equipment therein, shall be included in Operating Expenses.

Conference Facility. The Existing Development will continue to offer an after business hours publicly accessible, interior conference facility consisting of 2,500 square feet (the “Conference Facility”), provided that, at the sole option of Developer, such facility may be relocated from the current location at the Original SRC Property to a location within the R&D Development Property that provides substantially equivalent amenities and space, as determined by Developer upon completion of the retail and plaza portions of the R&D Development Property. The public’s use of the Conference Facility shall be subject to the scheduling, fee, priority use and rules, regulations and guidelines provisions set forth in the Reservation Rules and Policies on file with the City.
Conference Facility. Landlord currently provides a conference facility (the “Conference Facility”) located within the Equity Office San Diego portfolio of buildings, accommodating groups of people for use by building tenants (including Tenant) on a reserved basis. In the event Tenant desires to utilize the Conference Facility, Tenant shall call (000) 000-0000 in advance, prior to the date on which Tenant desires to utilize such Conference Facility. The reservations are on a first come first served basis and are subject to the prevailing market rate. Landlord, in Landlord’s sole and absolute discretion, may discontinue to provide for the Conference Facility at any time.
Conference Facility. Tenant shall have the right to use in common with others the Building conference facility with seating for approximately 30 people at no charge (other than Landlord's charge for cleaning). Tenant shall faithfully observe and comply with such rules and regulations regarding the conference facility as Landlord may from time to time adopt.
Conference Facility. The Building currently has an executive conference center (“Conference Center”) located on Floor 2 of the Building, which consists of an executive board room (seating for eighteen (18) people) and a training room which can seat up to seventy-two (72) people in a classroom setting or which may be divided to accommodate thirty-six (36) people per room. The training room can be expanded, at Tenant’s cost, should Tenant choose to lease the space immediately contiguous to the existing Conference Center, and can be constructed in such a way as to open into the existing Conference Center. The area of the training room that is expanded will become a part of the Leased Premises and Tenant will have the exclusive use thereof; provided the original Conference Center (i.e., prior to such expansion) will continue to be available for use by Tenant and the other tenants in the Building. The existing Conference Center shall be available to Tenant and other tenants in the building on a first come, first-served, prior reservation basis. Landlord agrees to monitor such reservations so no single tenant can continuously block-reserve multiple time-slots on multiple consecutive days and preclude the reasonable opportunity of all tenants to use the Conference Center.
Conference Facility. Landlord shall provide Tenant up to a total of forty (40) hours per month of free usage for the two (2) conference facilities in the Building. Tenant's use of the conference facilities will be subject to the reservation procedures established by Landlord from time to time. If Tenant does not utilize all forty (40) free hours in a month, any unused amount will expire and will not be carried forward to future months. Nothing in this Lease shall be construed to obligate Landlord to continue the operation of the conference facilities.
Conference Facility. LESSEE shall have the right to use, based upon availability, the conference facility in the main Regency building on a prior reserved basis at a fee to be determined.   • Advance Facility (a) The Master Servicer is hereby authorized to enter into a financing or other facility (any such arrangement, an "Advance Facility") under which (1) the Master Servicer sells, assigns or pledges to another Person (an "Advancing Person") the Master Servicer's rights under this Agreement to be reimbursed for any Advances or Servicing Advances and/or (2) an Advancing Person agrees to fund some or all Advances and/or Servicing Advances required to be made by the Master Servicer pursuant to this Agreement. No consent of the Depositor, the Trustee, the Certificateholders or any other party shall be required before the Master Servicer may enter into an Advance Facility. Notwithstanding the existence of any Advance Facility under which an Advancing Person agrees to fund Advances and/or Servicing Advances on the Master Servicer's behalf, the Master Servicer shall remain obligated pursuant to this Agreement to make Advances and Servicing Advances pursuant to and as required by this Agreement. If the Master Servicer enters into an Advance Facility, and for so long as an Advancing Person remains entitled to receive reimbursement for any Advances including Nonrecoverable Advances ("Advance Reimbursement Amounts") and/or Servicing Advances including Nonrecoverable Advances ("Servicing Advance Reimbursement Amounts" and together with Advance Reimbursement Amounts, "Reimbursement Amounts") (in each case to the extent such type of Reimbursement Amount is included in the Advance Facility), as applicable, pursuant to this Agreement, then the Master Servicer shall identify such Reimbursement Amounts consistent with the reimbursement rights set forth in Section 3.10(a)(ii) and (vii) and remit such Reimbursement Amounts in accordance with this Section 3.22 or otherwise in accordance with the documentation establishing the Advance Facility to such Advancing Person or to a trustee, agent or custodian (an "Advance Facility Trustee") designated by such Advancing Person in an Advance Facility Notice described below in Section 3.22(b). Notwithstanding the foregoing, if so required pursuant to the terms of the Advance Facility, the Master Servicer may direct, and if so directed in writing the Trustee is hereby authorized to and shall pay to the Advance Facility Trustee the Reimbursement Amounts identified pursuant to the preceding sentence. An Advancing Person whose obligations hereunder are limited to the funding of Advances and/or Servicing Advances shall not be required to meet the qualifications of a Master Servicer or a Subservicer pursuant to Section 3.02(a) or 6.02(c) hereof and shall not be deemed to be a Subservicer under this Agreement. Notwithstanding anything to the contrary herein, in no event shall Advance Reimbursement Amounts or Servicing Advance Reimbursement Amounts be included in the Available Distribution Amount or distributed to Certificateholders.

  • Office Facilities During the Employment Period, the Company will furnish Executive, without charge, suitable office facilities for the purpose of performing his duties hereunder, which facilities shall include secretarial, telephone, clerical and support personnel and services and shall be similar to those furnished to employees of the Company having comparable positions.

  • Refinancing Facilities (a) At any time after the Closing Date, the Borrower may obtain, from any Lender or any Additional Lender (to the extent agreed to by such Lender or Additional Lender in its sole discretion), Credit Agreement Refinancing Indebtedness in respect of all or any portion of the Term Loans, Prepetition Subsidiary Debt, Revolving Credit Loans and/or Revolving Credit Commitments then outstanding under this Agreement (which will be deemed to include any then outstanding Incremental Term Loans under any Incremental Facilities or any Incremental Revolving Credit Commitments then outstanding under this Agreement (or any Revolving Credit Loans outstanding pursuant thereto)) or any then outstanding Refinancing Term Loans or any then outstanding Refinancing Revolving Credit Loans or Refinancing Revolving Credit Commitments in the form of Refinancing Revolving Credit Loans or Refinancing Revolving Credit Commitments, respectively, in each case, pursuant to a Refinancing Amendment, together with any applicable Customary Intercreditor Agreement or other customary subordination agreement; provided, that such Credit Agreement Refinancing Indebtedness (i) will, to the extent secured, rank pari passu or junior in right of payment and of security with the other Loans and Commitments hereunder (but for the avoidance of doubt, such Credit Agreement Refinancing Indebtedness may be unsecured), (ii) will, to the extent permitted by the definition of “Credit Agreement Refinancing Indebtedness,” have such pricing, interest rate margins (including “MFN” provisions), rate floors, discounts, fees, premiums and prepayment or redemption provisions and terms as may be agreed by the Borrower and the Lenders or Additional Lenders with respect thereto, (iii) will, to the extent in the form of Refinancing Revolving Credit Loans or Refinancing Revolving Credit Commitments, participate in the payment, borrowing, participation and commitment reduction provisions herein on a pro rata basis with any then outstanding Revolving Credit Loans and Revolving Credit Commitments, except that the Borrower shall be permitted to permanently repay and terminate commitments of any such Class on a better than a pro rata basis as compared to any other Class with a later maturity date than such Class and (iv) will, to the extent in the form of Refinancing Revolving Credit Loans or Refinancing Revolving Credit Commitments and unless the Required Revolving Credit Lenders shall have consented thereto, have terms and conditions (other than interest rate margins and commitment fees) identical to those applicable to the Revolving Credit Commitments and Revolving Credit Loans being refinanced. The effectiveness of any Refinancing Amendment shall be subject to, to the extent reasonably requested by the Administrative Agent (or in the case of Revolving Credit Commitments and Revolving Credit Loans, the Revolver Agent), receipt by the Administrative Agent or Revolver Agent, as applicable, of reaffirmation agreements and board resolutions, officers’ certificates and legal opinions consistent with those delivered on the Closing Date. The Administrative Agent or Revolver Agent, as applicable, shall promptly notify each Lender as to the effectiveness of each Refinancing Amendment. Each of the parties hereto hereby agrees that, upon the effectiveness of any Refinancing Amendment, this Agreement shall be deemed amended to the extent (but only to the extent) necessary to reflect the existence and terms of the Credit Agreement Refinancing Indebtedness incurred pursuant thereto (including any amendments necessary to treat the Loans and Commitments subject thereto as Refinancing Term Loans, Refinancing Revolving Credit Loans or Refinancing Revolving Credit Loan Commitments, as applicable) and any Indebtedness being replaced or refinanced with such Credit Agreement Refinancing Indebtedness shall be deemed permanently reduced and satisfied in all respects. Any Refinancing Amendment may, without the consent of any other Lenders, effect such amendments to this Agreement and the other Loan Documents as may be necessary or appropriate, to effect the provisions of this Section.
