Conduct of Supplier Personnel. While at the Gap Service Locations, Supplier Personnel shall (1) comply with reasonable requests, standard rules, and regulations of Gap communicated to Supplier regarding personal and professional conduct (including the wearing of a particular uniform or identification badge and adhering to Gap regulations and general safety practices or procedures) generally applicable to such Gap Service Locations, and (2) otherwise conduct themselves in a businesslike manner. Gap’s Chief Information Officer or the Gap Infrastructure Partnership Executive shall have the right to Approve or request the removal of any member of Supplier’s Personnel at a Gap Service Location (including, but not limited to, Supplier Outsourcing Relationship Executive, Supplier HR Representative, Supplier Key Employees, and Project Staff) assigned to perform under this Agreement. Should Gap, in its sole discretion, be dissatisfied with the performance, competence, responsiveness, capabilities, cooperativeness, or fitness for a particular task of any __________________________ *Certain information on this page has been omitted and filed separately with the Commission. In the event Supplier should ever need to remove any member of Supplier’s Personnel from performing services under this Agreement at a Gap Service Location, Supplier shall provide Gap with adequate notice, except in circumstances in which such notice is not possible, and shall work with Gap on a mutually agreeable transition plan so as to provide an acceptable replacement and ensure project continuity. Conduct of Supplier Personnel. While at the Chordiant Service Locations, Supplier and Supplier Agents shall (a) comply with the requests, standard rules and regulations of Chordiant regarding safety and health, personal and professional conduct (including adhering to general safety practices or procedures) generally applicable to such Chordiant Service Locations, and (b) otherwise conduct themselves in a businesslike manner. Supplier shall cause the EDC Personnel to maintain and enforce the confidentiality provisions of this Agreement. If Chordiant notifies Supplier that a particular member of the EDC Personnel is not conducting himself or herself in accordance with this Section, Supplier shall promptly (y) investigate the matter and take appropriate action which may include (i) removing the applicable person from the EDC Personnel and providing Chordiant with prompt notice of such removal, and (ii) replacing the applicable person with a similarly qualified individual, or (z) take other appropriate disciplinary action to prevent a recurrence. In the event of multiple violations of this Section by a particular member of the EDC Personnel, Supplier shall promptly remove the individual from the EDC Personnel.
Conduct of Supplier Personnel. While at the PacifiCare Service Locations, Supplier and Supplier Agents agree at all times to, and shall cause the Project Staff to, (a) comply with the requests, standard rules and regulations of PacifiCare regarding safety and health, personal and professional conduct (including adhering to general safety practices and procedures) generally applicable to such PacifiCare Service Locations, (b) otherwise conduct themselves in a businesslike manner and (c) maintain and enforce Section 20 of this Agreement. If PacifiCare notifies Supplier that a particular member of the Project Staff is not conducting himself or herself in accordance with this Section 12.5, Supplier shall promptly: (y) investigate * CONFIDENTIAL TREATMENT REQUESTED the matter and take appropriate action that may include (i) removing the applicable person from the Project Staff, (ii) providing PacifiCare with prompt notice of such removal and (iii) replacing the applicable person with a similarly qualified individual; or (z) take other appropriate disciplinary action to prevent a recurrence. In the event of multiple violations of this Section 12.5 by a particular member of the Project Staff, Supplier shall promptly remove the individual from the Project Staff.
Conduct of Supplier Personnel. If LS&Co. notifies Supplier that a particular member of the Supplier Staff is not conducting himself or herself in accordance with Section 7.3, Supplier shall promptly investigate the matter and take appropriate action which may include: (a) removing the applicable person from the Supplier Staff and providing LS&Co. with prompt notice of such removal and replacing the applicable person with a similarly qualified individual; or (b) taking other appropriate disciplinary action to prevent a recurrence. In the event of multiple violations of Section 7.3 by a particular member of the Supplier Staff, Supplier shall promptly remove the individual from the Supplier Staff. LS&Co. reserves the right to remove any Supplier Staff from any LS&Co. Service Location and restrict access to any System in its sole discretion.
Conduct of Supplier Personnel. Whenever present at JCI premises, Supplier shall comply and shall cause its Personnel to comply with any and all applicable health, safety and environmental laws and regulations and JCI on-site policies and procedures and all reasonable instructions or directions issued by JCI, and otherwise conduct themselves in a businesslike manner. If JCI shall request Supplier to remove any of its Personnel for any reason from the work hereunder (including, without limitation, lack of competence or conduct that interferes with JCI’s operations), Supplier shall promptly cause such individual to be removed and replaced at no cost to JCI; provided, however, except as otherwise provided herein, Supplier retains the sole right to hire and fire its Personnel, and shall be solely responsible for oversight of its Personnel and any decision to fire its Personnel.

Conduct of Supplier Personnel. While at Company Facilities, Supplier shall ensure that the Supplier Personnel (A) comply with the requests, standard rules and regulations of Company regarding safety and health, personal and professional conduct (including non-discrimination and anti-harassment policies, the wearing of an identification badge or personal protective equipment and adhering to facility regulations and general safety practices or procedures, and including any drug testing policies applicable to Company employees) generally applicable to such Company Facilities, including all obligations set forth in Exhibit 16 (Safety and Security Requirements) and (B) otherwise conduct themselves in a professional and businesslike manner. In the event that Company determines that any of the Supplier Personnel are not conducting themselves in accordance with this Section, Company may notify Supplier of such conduct. After receipt of such notice, Supplier shall promptly remove such individual from Company’s account and shall replace that person with another person of suitable ability and qualifications.

Conduct of Supplier Personnel. Whenever present at the worksite, (a) the Subcontractor shall comply and shall cause its personnel to comply with any and all applicable health, safety and environmental laws and regulations, all worksite policies and procedures, and all reasonable instructions or directions issued by Contractor, and otherwise conduct themselves in a businesslike manner; and (b) Subcontractor personnel shall at all times carry photo identification and shall dress in a manner appropriate in light of their job function and the environment in which they work. Hard hats, work boots, and any other necessary safety gear are required on all construction sites. No signs for Subcontractor shall be displayed on the worksite without Contractor’s prior written consent. Upon Contractor’s request, Subcontractor shall remove any of its personnel for any reason from the Work. Subcontractor shall promptly cause such person(s) to be removed and replaced at no cost to Contractor; notwithstanding the foregoing, Subcontractor shall retain the sole right to hire and fire its personnel, and shall be solely responsible for oversight of its personnel.

  • Review Systems; Personnel It will maintain business process management and/or other systems necessary to ensure that it can perform each Test and, on execution of this Agreement, will load each Test into these systems. The Asset Representations Reviewer will ensure that these systems allow for each Review Receivable and the related Review Materials to be individually tracked and stored as contemplated by this Agreement. The Asset Representations Reviewer will maintain adequate staff that is properly trained to conduct Reviews as required by this Agreement.

  • Service Locations X.X. Xxxxxx maintains various operational/service centers and locations through the United States and foreign jurisdictions. The services provided under this Agreement may be provided from one or more such locations. X.X. Xxxxxx may change the operational/service centers and locations as it deems necessary or appropriate for its business concerns.

  • Subcontractors The Contractor will not subcontract any work under the Contract without prior written consent of the Department. The Contractor is fully responsible for satisfactory completion of all its subcontracted work.   • SERVICES AND EQUIPMENT Section 21.01. Landlord shall, at its cost and expense:

  • Third Party Contractors Tenant shall obtain and deliver to Landlord, Third Party Contractor’s certificates of insurance and applicable endorsements at least seven (7) business days prior to the commencement of work in or about the Premises by any vendor or any other third-party contractor (collectively, a “Third Party Contractor”). All such insurance shall (a) name Landlord as an additional insured under such party’s liability policies as required by Section 10.3.1 above and this Section 10.6, (b) provide a waiver of subrogation in favor of Landlord under such Third Party Contractor’s commercial general liability insurance, (c) be primary and any insurance carried by Landlord shall be excess and non-contributing, and (d) comply with Landlord’s minimum insurance requirements.

  • Use of Subservicers and Subcontractors The Servicer shall not hire or otherwise utilize the services of any Subservicer to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (a) of this Section. The Servicer shall not hire or otherwise utilize the services of any Subcontractor, and shall not permit any Subservicer to hire or otherwise utilize the services of any Subcontractor, to fulfill any of the obligations of the Servicer as servicer under this Agreement or any Reconstitution Agreement unless the Servicer complies with the provisions of paragraph (b) of this Section.
