CONDITIONS TO THE OBLIGATIONS OF THE MERGER SUB AND THE PARENT. The obligations of the Merger Sub and the Parent to proceed with the Closing are subject to the satisfaction on or prior to the Closing Date of all of the following conditions, any one or more of which may be waived in writing, in whole or in part, by the Merger Sub and the Parent; provided, however, that no such waiver of a condition shall constitute a waiver by the Merger Sub or the Parent of any of their other rights or remedies, at law or in equity, if the Companies (or any of them) or the Shareholder shall be in breach or default of any of such Party's representations, warranties or covenants under or contained in this Agreement:
