Conditions Precedent to the Buyer's Obligation. Each and every obligation of the Buyer to be performed in connection with the Closing on the Closing Date shall be subject to the satisfaction of the following conditions, unless waived in writing by the Buyer:

Conditions Precedent to the Buyer's Obligation. The obligation of the Buyer to consummate the purchase of the Shares on the Closing Date is, at the option of the Buyer, subject to the satisfaction of the following conditions: (a) Each of the representations and warranties of the Seller contained in Section 2.1 hereof shall be true and correct as of the Closing Date with the same force and effect as though the same had been made on and as of the Closing Date, except for changes therein permitted or contemplated hereby. (b) The Seller shall have performed and complied with the covenants and provisions in this Agreement required herein to be performed or complied with by the Seller between the date hereof and the Closing Date. (c) No action or proceeding shall have been instituted or threatened or claim or demand made against the Buyer, the Seller or any Company before any court or other governmental body, seeking to restrain or prohibit or to obtain substantial damages with respect to the consummation of the transactions contemplated hereby, or which might materially adversely affect the business of any Company, which in the reasonable opinion of the Buyer makes it inadvisable to consummate such transactions.
