CONDITIONS PRECEDENT TO OBLIGATIONS OF THE CONTRIBUTOR. The obligations of the Contributor with respect to actions to be taken on the Closing Date are subject to the satisfaction or waiver on or prior to the Closing Date, as the case may be, of all of the conditions set forth in this Article 8. As of the Closing Date, all conditions not satisfied shall be deemed to have been waived by the Contributor unless such parties have objected by notifying Clarant in writing of such objection on or before the consummation of the transactions on the Closing Date, respectively, except that no such waiver shall be deemed to affect the survival of the representations and warranties of Clarant contained in Article 6 hereof.
