Conditions Precedent to Initial Extension of Credit. Subject to the Closing Date Limitations, Section 2.01 of this Agreement shall become effective on and as of the first date (the “Effective Date”) on which the following conditions have been satisfied or waived and the obligation of each Second Lien Lender to make an Advance on the Effective Date is subject to the satisfaction or waiver of such conditions precedent before or substantially concurrently with the Effective Date:
