Conditions Precedent Favoring Buyer. In addition to any other conditions precedent in favor of Buyer as may be expressly set forth elsewhere in this Agreement, Buyer’s obligations under this Agreement are subject to the timely fulfillment of the conditions set forth in this Section 5.4 on or before the Closing Date, or such earlier date as is set forth below. Each condition may be waived in whole or in part only, by written notice of such waiver from Buyer to Seller.
Conditions Precedent Favoring Buyer. In addition to any other conditions precedent in favor of Buyer as may be expressly set forth elsewhere in this Agreement, Buyer’s obligations under this Agreement are subject to the timely fulfillment of the conditions set forth in this Section 5.4 on or before the Closing Date, or such earlier date as is set forth below. Each condition may be waived in whole or in part only, by written notice of such waiver from Buyer to Seller, in Buyer’s sole and absolute discretion. Buyer may terminate this Agreement upon written notice to Seller due to the failure of any of the conditions precedent contained in this Agreement, in which event Buyer shall be entitled to a prompt return of the Deposit, and the parties hereto shall have no further obligations hereunder except those which by their terms expressly survive any such termination.
Conditions Precedent Favoring Buyer. The following are hereby added to Section 6(D) of the Agreement as conditions precedent favoring Buyer:

Conditions Precedent Favoring Buyer. The parties hereto hereby acknowledge and agree that the condition precedent in favor of Buyer contained in Section 5.4.1 is hereby deleted in its entirety as inapplicable. The parties hereto hereby further acknowledge and agree that the following conditions precedent in favor of the Buyer shall be added to Section 5.4 of the Agreement:

Each condition may be waived in whole or in part only, by written notice of such waiver from Buyer to Seller. The Closing of the transaction contemplated herein shall be conclusively deemed a waiver of any condition precedent for Buyer’s benefit, except as to the material breach of any representation or warranty if Buyer did not know, and had no reason to know, thereof as of the Closing Date.

Buyer may terminate this Agreement upon written notice to Seller, after any applicable notice and cure periods, due to the failure of any of the conditions precedent contained in this Agreement, in which event Buyer shall be entitled to a prompt return of the Deposit, and the parties hereto shall have no further obligations hereunder except those which by their terms expressly survive any such termination.
Conditions Precedent Favoring Buyer. Section 9.3 of the Purchase Agreement is hereby amended by inserting the following new Sections 9.3.5 and 9.3.6, which shall read in their entirety as follows:
