Common use of Conditions of Obligations Clause in Contracts

Conditions of Obligations. The obligations of the Agents to solicit offers to purchase the Notes as agent of the Company, the obligations of any purchasers of the Notes sold through an Agent as agent, and any obligation of an Agent to purchase Notes pursuant to a Terms Agreement or otherwise will be subject to the accuracy of the representations and warranties on the part of the Company contained herein and to the accuracy of the statements of the officers of the Company made in any certificate furnished pursuant to the provisions hereof, to the performance and observance by the Company of all its covenants and agreements herein contained and to the following additional conditions precedent:

The obligations of each Agent, as agent of the Agents Company, to solicit offers to purchase the Notes as agent of the CompanyNotes, the obligations of any purchasers of the Notes sold through an Agent as agent, and any obligation of an Agent to purchase Notes as principal pursuant to a Terms Agreement or otherwise will be subject to the accuracy of the representations and warranties on the part of the Company contained herein and herein, to the accuracy of the statements of the Company's officers of the Company made in any certificate furnished pursuant to the provisions hereof, to the performance and observance by the Company of all of its covenants and agreements herein contained and to the following additional conditions precedent:
