Common use of Conditions of Closing Clause in Contracts

Conditions of Closing. The Subscriber acknowledges and agrees that the Corporation is relying on the truth of the representations and warranties of the Subscriber contained in this Subscription Agreement as of the date of this Subscription Agreement, and as of the Closing Time as if made at and as of the Closing Time, and the fulfillment of the following additional conditions prior to the Closing Time:

The Subscriber Corporation acknowledges and agrees that the Corporation is relying obligations of the Subscriber hereunder are conditional on the truth accuracy of the representations and warranties of the Subscriber Corporation contained in this Subscription Agreement as of the date of this Subscription Agreement, and as of the Closing Time as if made at and as of the Closing Time, and upon the fulfillment Subscriber (or any other entity designated by the Subscriber herein) having received from the Corporation definitive certificates, or ownership statements issued under a direct registration system, in respect of the following additional conditions prior to Shares and the Closing Time:Warrants.
