CONDITIONS AND OBLIGATIONS RELATING TO THE EFFECTIVENESS OF THE SETTLEMENT. The Parties shall have the following obligations, and the Settlement is contingent on the following conditions in Sections 2.1 through 2.6 hereof, unless waived in writing by the Parties.

CONDITIONS AND OBLIGATIONS RELATING TO THE EFFECTIVENESS OF THE SETTLEMENT. The Settlement shall not become effective unless and until each and every one of the conditions and obligations in Sections 2.1 through 2.3 (“the Settlement Conditions”) has been either satisfied or waived in writing by the Party entitled to the benefit of the condition or obligation. Except as otherwise provided in this Settlement Agreement, the Parties will use reasonable, good-faith, best efforts to cause each of the Settlement Conditions to occur and will support the Settlement through all Review Proceedings, subject to the rights set forth in Section 9.1.

In the event that the Settlement is not finally approved, Defendants shall be refunded any money that has not yet been expended, and the Action will resume as if there had been no settlement.

The CAISO and Participating TO may provide operating instructions to the Interconnection Customer consistent with this LGIA and Participating TO and CAISO operating protocols and procedures as they may change from time to time. The Participating TO and CAISO will consider changes to their operating protocols and procedures proposed by the Interconnection Customer.

  • Our Liability for Failing to Make Transfers If we do not complete a transaction to or from the Card on time or in the correct amount according to our Agreement with you, we may be liable for your losses or damages. However, there are some exceptions. We will not be liable, for instance:
