Common use of Conditions and Covenants Clause in Contracts

Conditions and Covenants. On or prior to the Closing Date, Buyer shall have performed or satisfied all covenants, agreements and conditions to be performed or satisfied on or prior to the Closing Date by Buyer hereunder, and Buyer shall have delivered to Seller a certificate to that effect dated the Closing Date and signed by the President and the Secretary of Buyer.
