Concession Operations. 7.1 The management, maintenance and operation of the Assigned Areas shall at all times be under the supervision and direction of a qualified, competent manager who shall at all times be subject to the direction and control of the Concessionaire.
7.2 The operations of Concessionaire, its employees, agents, suppliers and contractors shall be conducted in an orderly and proper manner.
7.3 Concessionaire shall hire or contract with a sufficient number of employees or contractors so as to properly conduct the Concessionaire’s operation.
Concession Operations. Concessionaire shall provide a top-quality Concession to the general public and patrons of the Parks at such prices and under such standards of operation as will ensure prompt, courteous, and convenient services to the general public and patrons including, without limitation, those standards set forth in Exhibit A, attached hereto and incorporated herein by reference. Toward this end, Concessionaire shall: provide all food and beverage services available at the Parks; provide all temporary food and beverage facilities as agreed to by the parties; employ, train, manage, and directly supervise all personnel required to properly operate and maintain the Concession; provide repair and maintenance services for City- owned equipment (“City Equipment”) listed in Exhibit B, attached hereto and incorporated herein by reference; obtain all licenses, permits, and certificates required to operate the Concession, including, but not limited to, a Loveland sales tax license and a Larimer County Health Department certificate for each Concession location; operate the Concession in a manner fully supportive of, and in compliance with, the standards set forth in Exhibit A; operate the Concession as public facilities in a non-discriminatory manner at all times; promote and market the Concession to the general public; and provide any and all equipment in addition to that provided by the City which is necessary to provide the required level of services.

The City hereby grants Concessionaire a concession for the use of the Downtown Transit Center concession area as defined in attached Exhibit "A", consisting of one (1) page and incorporated herein by reference, for outdoor vending. Upon request of Landlord, Tenant shall notify Landlord within ten (10) business days following receipt of such request as to which of Tenant's concessionaires intend to be open for business during Landlord Events designated in such request which are scheduled to occur within four (4) months following such request. If any of Tenant's concessionaires elect not to operate its ordinary concession facilities and operations at the Amphitheater during the presentation of any of the Landlord Events, then Landlord shall have the right and option to arrange for and provide for the sale of the type of concession ordinarily sold by each such concessionaire at the Amphitheater by or through concessionaires of its choice; provided, however, that Landlord shall have no right to use the existing concession facilities and improvements at the Amphitheater without the prior consent of Tenant's concessionaires. Notwithstanding the foregoing provisions, Tenant hereby agrees and acknowledges that, with respect to those Landlord Events which are "festivals," the service of food and beverages as a part of, and consistent with past practices at, any such festival shall be permitted and shall not violate the Tenant's exclusive right to operate food, beverage and merchandise concessions at the Amphitheater.

In the event Manager fails to continuously provide Concession Operations in all or any portion of the Food Service Areas pursuant to the terms and conditions of this Agreement and the Food Service Plan, and such failure shall continue for more than seven (7) Days after notice to Manager from the Director, then an Event of Default will have occurred, and the Authority may invoke any of the remedies afforded under this Agreement, at law or in equity.
b. Manager acknowledges and agrees that the failure to operate the Concession Operations pursuant to the terms and conditions of this Agreement and the Food Service Plan will cause the Authority substantial damages, a portion of which may be ascertainable, but another portion of which, relative to loss of Services to the Clients and users of ▇▇▇▇▇▇▇▇▇ Place and the loss of good will, might be difficult or impossible to quantify. Accordingly, the parties have agreed that if Manager fails to perform Concession Operations, in whole or in part, in accordance with the Agreement and Food Service Plan at any time during the Term then, in addition to all other remedies available under this Agreement, at law or in equity, Manager shall pay to the Authority, as liquidated damages (and not as a penalty) in connection with said loss of good will, $100.00 per hour for each hour that such failure shall continue, to a maximum of $1,500.00 per 24-hour period. Such payment of liquidated damages shall continue from the date of the breach through the earlier of the date such breach is cured or the date of termination of this Agreement.
