Common use of Compliance with the Sxxxxxxx-Xxxxx Act Clause in Contracts

Compliance with the Sxxxxxxx-Xxxxx Act. There is and has been no failure on the part of the Company or any of the Company’s directors or officers, in their respective capacities as such, to comply with all provisions of the Sxxxxxxx-Xxxxx Act of 2002 and the rules and regulations promulgated thereunder or implementing provisions thereof (the “Sxxxxxxx-Xxxxx Act”) that are then in effect and with which the Company is required to comply as of the effectiveness of the Registration Statement, and is actively taking steps to ensure that it will be in compliance with other provisions of the Sarbanes Oxley Act not currently in effect, upon the effectiveness of such provisions, or which will become applicable to the Company at all times after the effectiveness of the Registration Statement.

There is and has been no failure on the part of the Company or any of the Company’s directors or officers, in their respective capacities as such, to comply in all material respects with all provisions any provision of the Sxxxxxxx-Xxxxx Act of 2002 and the rules and regulations promulgated thereunder or implementing provisions thereof in connection therewith (the “Sxxxxxxx-Xxxxx Act”) that are then in effect ), including Section 402 related to loans and with which Sections 302 and 906 related to certifications, and the Company is required to comply as of the effectiveness of the Registration Statement, and is actively taking steps to ensure that it will be in compliance with other provisions of the Sarbanes Oxley Sxxxxxxx-Xxxxx Act not currently in effect, upon the effectiveness of such provisions, or which will become applicable to the Company at all times after the effectiveness of the Registration Statement.
