Common use of Compliance with Laws, Rules and Regulations Clause in Contracts

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof), shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibility. Lessee will comply with the rules and regulations of the Building adopted by Lessor which are set forth on a schedule attached to this Lease. At any time, Lessor may change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building or the Leased Premises. All changes and amendments to the rules and regulations of the Building will be sent by Lessor to Lessee in writing and must thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's ’s sole cost and expense (except as provided in Section 2.04 2.4 hereof), shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibility. Lessee will comply with the rules and regulations of the Building adopted by Lessor which are set forth on a schedule Exhibit C attached to this Lease. At any time, Lessor may change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building or the Leased Premises. All changes and amendments to the rules and regulations of the Building will be sent by Lessor to Lessee in writing and must thereafter be carried out and observed by Lessee. Lessor shall use reasonable efforts to enforce the rules and regulations in a nondiscriminatory manner against all occupants.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, orders rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and or occupancy of the Leased Premises except that Lessor Premises. Lessee shall be responsible procure at its own expense all permits and licenses required for construction the transaction of the Lessee Improvements its business in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityPremises. Lessee will comply with the rules and regulations of the Building Property adopted by Lessor which are set forth on a schedule attached to this Lease. At If Lessee is not complying with such rules and regulations, or if Lessee is in any timeway not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any expenses which Lessor may incur in effecting compliance with Lessee's obligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as it may be deemed deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building Property or the Leased Premises. All changes and amendments to the rules and regulations of the Building Property will be sent forwarded by Lessor to Lessee in writing and must shall thereafter be carried out and observed by Lessee.

All changes and amendments to the rules and regulations of the Building will be sent by Lessor to Lessee in writing and must thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, county, municipal or other agencies or bodies having jurisdiction over Lessee or relating to the usePremises (excluding, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited tohowever, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises above-ceiling fire safety regulations which is Lessee's responsibilityshall be borne by Landlord). Lessee Tenant will comply with the rules Rules and regulations of the Building Regulations adopted by Lessor Landlord which are set forth on EXHIBIT D, attached hereto and hereby made a schedule attached part hereof. Landlord shall have the right at all times to this Lease. At any time, Lessor may change the Rules and amend the rules and regulations Regulations in any reasonable manner as Landlord may deem necessary or advisable, provided same shall not inconsistent materially interfere with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or Tenant's use of and operations at the Building or the Leased Premises. All changes and amendments to in the rules Rules and regulations of the Building Regulations will be sent by Lessor Landlord to Lessee Tenant in writing and must shall thereafter be carried out and observed by LesseeTenant. Landlord shall not enforce the Rules and Regulations in a discriminatory manner against Tenant. Landlord shall comply with all laws, ordinances, orders, rules and regulations of state, federal, county, municipal or other agencies or bodies having jurisdiction relating to the Building other than the Premises and portions of the Project leased to other tenants.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof), shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Shell Building Improvements and Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibility. Lessee will comply with the rules and regulations of the Building adopted by Lessor which are set forth on a schedule attached to this Lease. At any time, Lessor may change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building or the Leased Premises. All changes and amendments to the rules and regulations of the Building will be sent by Lessor to Lessee in writing and must thereafter be carried out and observed by Lessee.

At any time, Lessor may shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building building or the Leased Premisesleased premises. All changes and amendments to the rules and regulations of the Building building will be sent by Lessor to Lessee in writing and must shall thereafter be carried out and observed by Lessee. Should the Building of which the leased premises are a part not be classified as a “commercial facility which is a place of public accommodations” as defined in Title III of the Americans with Disabilities Act of 1990 (the Act) on the date hereof, and Lessee’s use, alterations or improvements thereafter cause the Building to be classified as such, Lessee shall be responsible for and shall indemnify Lessor against any and all costs and expenses of Lessor associated with complying with the Act.

Compliance with Laws, Rules and Regulations. Lessor, at its expense, warrants that the building and improvements were constructed to comply with and do comply with all applicable local, state, and federal building codes. Any expenses required by Lessor's mortgage or financing shall be Lessor's responsibility and not included as part of the Operating Expenses in Section 2.03. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and occupancy use of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityPremises. Lessee will comply with all such laws, ordinances and the rules and regulations like applicable to its use of the Building Leased Premises and the operations of its businesses therein, and with the Rules and Regulations of the building adopted by the Lessor which are set forth on a schedule attached to this Lease. At any time, Lessor may shall have the right at all times to change and amend the rules Rules and regulations Regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building building or the Leased Premises. All changes and amendments to the rules Rules and regulations Regulations of the Building building will be sent by Lessor to Lessee in writing and must shall thereafter be carried out and observed by Lessee.

At If Lessee is not complying with such rules and regulations, or if Lessee is in any timeway not complying with this Article 3, then notwithstanding anything to the contrary contained herein, Lessor, may upon three (3) business days written notice, at its election, enter the Leased Premises without liability therefor and fulfill Lessee's obligations. Lessee shall reimburse Lessor on demand for any reasonable expenses which Lessor may incur in effecting compliance with Lessxx'x xbligations and agrees that Lessor shall not be liable for any damages resulting to Lessee from such action. Lessor shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as it may be deemed deem advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building Property or the Leased Premises. All changes and amendments to the rules and regulations of the Building will be sent by Lessor to Lessee in writing and must thereafter be carried out and observed by Lessee.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityleased premises. Lessee will comply with the rules and regulations of the Building building adopted by Lessor which are set forth on a schedule attached to this Lease. At any time, Lessor may shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building building or the Leased Premisesleased premises provided that no such change modifies or alters any provision of this Lease resulting in more expense to Lessee, or modifies Lessee's right and obligations hereunder. All changes and amendments to the rules and regulations of the Building building will be sent by Lessor to Lessee in writing and must shall thereafter be carried out and observed by Lessee. See Addendum "A" attached hereto and made a part hereof.

LesseeTenant, at LesseeTenant's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or the use, condition and or occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityPremises. Lessee Tenant will comply with the rules and regulations of the Building adopted by Lessor Landlord which are set forth on a schedule Exhibit "C" attached to this Lease. At any time, Lessor may Landlord shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or operational use of the Building or the Leased Premises. All changes and amendments to the rules and regulations of the Building will be sent by Lessor Landlord to Lessee Tenant in writing and must shall thereafter be carried out and observed by LesseeTenant. Notwithstanding any other provisions of this Lease, however, Tenant shall not be obligated to modify (or to pay the cost of modifying) (i) any structural, mechanical or electrical component of the Building outside of the Premises, nor (ii) any structural component of the Building within the Premises unless required by Tenant's use of the Premises.

Compliance with Laws, Rules and Regulations. Lessee, at Lessee's sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or relating to the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of leased premises arising directly from Lessee's use thereof, occurring after the Lessee Improvements in compliance therewith as of the Commencement Datecommencement date, and unrelated to environmental abatement or sprinklers, including, but not limited towithout limitation, compliance the Americans with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityDisabilities Act and all regulations promulgated thereunder or pursuant thereto. Lessee will comply with the rules and regulations of the Building building adopted by Lessor which are set forth on a schedule Exhibit B attached to this Lease. At any time, Lessor may shall have the right at all times to change and amend the rules and regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable for the safety, care, cleanliness, preservation of good order and operation or use of the Building building or the Leased Premisesleased premises. All changes and amendments to the rules and regulations of the Building building will be sent by Lessor to Lessee in writing and must shall thereafter be carried out and observed by Lessee. Rules and regulations shall be enforced in a non-discriminatory manner.

Compliance with Laws, Rules and Regulations. LesseeTenant, at LesseeTenant's ------------------------------------------- sole cost and expense (except as provided in Section 2.04 hereof)expense, shall comply with all laws, ordinances, orders, rules and regulations now in effect or enacted subsequent to the date hereof by of state, federal, municipal or other agencies or bodies having jurisdiction over Lessee or relating to the use, condition and occupancy of the Leased Premises except that Lessor shall be responsible for construction of the Lessee Improvements in compliance therewith as of the Commencement Date, including, but not limited to, compliance with the ADA as to the Building, but excluding the interior of the Leased Premises which is Lessee's responsibilityPremises. Lessee Tenant will also comply with the rules Rules and regulations Regulations of the Building adopted by Lessor Landlord which are set forth on a schedule EXHIBIT "E" attached to this LeaseAgreement. At any time, Lessor may Landlord shall have the right at all times to change and amend the rules Rules and regulations Regulations in any reasonable manner not inconsistent with the terms of this Lease as may be deemed advisable by Landlord for the safety, care, cleanliness, preservation of good order and operation or use of the Building Building, the Premises or the Leased PremisesProject which do not materially interfere with the normal conduct of Tenant's business operation. All changes and amendments to the rules Rules and regulations of the Building Regulations will be sent by Lessor Landlord to Lessee Tenant in writing and must shall thereafter be carried out and observed by LesseeTenant. Landlord shall not be responsible for other tenants failure to observe the rules & regulations but agrees to use reasonable efforts to enforce the rules and regulations equally among all Tenants of the Building or Project.
