Common use of Compliance with Laws and Material Contractual Obligations Clause in Contracts

Compliance with Laws and Material Contractual Obligations. The Borrower will, and will cause each Subsidiary to comply with (a) all laws, rules, regulations, orders, writs, judgments, injunctions, decrees or awards to which it may be subject, the failure to comply with which could reasonably be expected to have a Material Adverse Effect and (b) all of its material contractual obligations, except where the failure to do so, individually or in the aggregate, could not reasonably be expected to result in a Material Adverse Effect.

Compliance with Laws and Material Contractual Obligations. The Borrower will, and will cause each Subsidiary to to, (i) comply in all material respects with (a) all laws, rules, regulations, orders, writs, judgments, injunctions, decrees or awards to which it may be subjectsubject including, the failure to comply with which could reasonably be expected to have a Material Adverse Effect without limitation, all Environmental Laws and (bii) perform in all of material respects its material contractual obligations, except where the failure obligations under Material Agreements to do so, individually or in the aggregate, could not reasonably be expected to result in which it is a Material Adverse Effectparty.
