Common use of Compliance with Laws and Instruments Clause in Contracts

Compliance with Laws and Instruments. The execution, delivery and performance by such Stockholder of this Agreement and each of the other documents contemplated hereby and the consummation by such Stockholder of the transactions contemplated hereby (a) will not cause such Stockholder to violate or contravene (i) any provision of law, (ii) any rule or regulation of any agency or government or (iii) any order, judgment or decree of any court and (b) will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time, or both) a default under, any indenture, loan or credit agreement, deed of trust, mortgage, security agreement or other agreement or instrument to which such Stockholder is bound or affected.

The execution, delivery and performance by such Stockholder Shareholder of this Agreement and each of the other documents contemplated hereby and the consummation by such Stockholder Shareholder of the transactions contemplated hereby (a) will not cause such Stockholder Shareholder to violate or contravene (i) any provision of law, (ii) any rule or regulation of any agency or government or (iii) any order, judgment or decree of any court and (b) will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time, or both) a default under, any indenture, loan or credit agreement, deed of trust, mortgage, security agreement or other agreement or instrument to which such Stockholder Shareholder is bound or affectedaffected except where the violation, contravention, conflict or default would not materially adversely affect the ability of a Shareholder to perform its obligations under this Agreement.

The execution, delivery and performance by such Stockholder Member of this Agreement and each of the other documents contemplated hereby and the consummation by such Stockholder Member of the transactions contemplated hereby (a) will not cause such Stockholder Member to violate or contravene (i) any provision of law, (ii) any rule or regulation of any agency or government or (iii) any order, judgment or decree of any court and (b) will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time, or both) a default under, any indenture, loan or credit agreement, deed of trust, mortgage, security agreement or other agreement or instrument to which such Stockholder Member is bound or affected.

The execution, delivery and performance by such Stockholder each Member of this Agreement the Merger Documentation and each of the other documents contemplated hereby and the consummation by such Stockholder Member of the transactions contemplated hereby and thereby (a) will not cause such Stockholder Member to violate or contravene (i) any provision of law, (ii) any rule or regulation of any agency or government or (iii) any order, judgment or decree of any court and (b) will not violate or be in conflict with, result in a breach of or constitute (with or without notice or lapse of time, or both) a default under, any indenture, loan or credit agreement, deed of trust, mortgage, security agreement or other agreement or instrument to which such Stockholder Member is bound or affected.
