Compliance with Covenants and Conditions. The Company and each of the Sellers shall have performed and complied in all material respects with each and every covenant, agreement and condition required by this Agreement to be performed or satisfied by the Company and each of the Sellers, as the case may be, at or prior to the Closing Date. The Company and each of the Sellers shall deliver to the Purchaser and Newco a certificate, dated the Closing Date, certifying that the Company and the Sellers have fully performed and complied in all material respects with all the duties, obligations and conditions required by this Agreement to be performed and complied with by them at or prior to the Closing Date.
