Compliance with Certain Obligations. The Sponsors, officers and directors of the Company shall have complied with all the agreements and satisfied all the conditions on their respective part to be performed or satisfied by them at or prior to the Closing Date in connection with the transactions contemplated hereby set forth herein or as otherwise described in the Registration Statement, the Statutory Prospectus and the Prospectus.
Compliance with Certain Obligations. The Company shall have performed each of its obligations under Section 3(o) – 3(q) and the Agents shall have received the opinions of counsel, representation certificate and comfort letter referred to in such sections, as applicable. in each case in form and substance satisfactory to the Agent and its counsel.
