Compliance With Applicable Legal Authorities. The Company and the DS Supplier are subject to, and shall comply with, all existing or future applicable federal, state and local laws, all existing or future duly- promulgated orders or other duly-authorized actions of PJM or of Applicable Legal Authorities.

The Company’s obligation to provide service is subject to the condition that all requisite governmental and regulatory approvals for the provision of such service will have been obtained and will be maintained in force during such period of service.

The Parties shall provide services to each other under this Agreement consistent with any applicable federal, State or local statute, regulation, rule or order.

Compliance by the Company with any Renewable Energy Portfolio Standards enacted, approved, required or ordered by the Applicable Legal Authorities shall not be deemed a breach or violation of this Agreement or an Event of Default under Section 5.1.

Each party shall be responsible for its own compliance with all applicable federal, state, county or local ordinances, statutes, charters, codes, rules, regulations, or any other governmental requirements including, but not limited to, the rules and regulations of the Arizona Department of Health Services.

If applicable law or regulations materially change the obligations under this Agreement, the Parties agree to work towards a mutual agreement amending the Agreement in accordance with applicable law and regulations.
