The Company and each of the Subsidiaries hold all permits, licenses, variances, exemptions, orders, and approvals of all governmental entities necessary for the lawful conduct of their respective businesses (“Company Permits”), except for failures to hold such permits, licenses, variances, exemptions, orders and approvals which are not reasonably expected to have, individually or in the aggregate, a Material Adverse Effect on the Company and the Subsidiaries taken as a whole.
