Compliance with All Applicable Law. The execution of this contract is by a duly-authorized member of the Academy Board and the signator and Academy Board certify compliance by the Academy and the Academy Board with the terms and conditions of this Contract and all applicable law.

The Practice and each ---------------------------------- Physician Shareholder shall use their best efforts to comply with all Applicable Law and regulations relating to the Practice's practice and the operation of any facility, including, but not limited to, all Applicable Law relating to the acquisition or operation of a health care practice. Furthermore, neither the Practice nor any Physician Shareholder shall intentionally violate any Applicable Law.

Collectively, applicable federal and state laws, local ordinances, governmental regulations, College District Board Policy, and College District administrative regulations, and Facility rules and regulations shall be referred to herein as “Applicable Law” or “Applicable Laws.” If the College District notifies Licensee that it has violated any Applicable Law, Licensee will immediately desist from and correct such violations.

The city/state will not be responsible for any loss of data, corrupting your storage device, or transmitting computer viruses to your personal device • THE CITY IS NOT RESPONSIBLE FOR LOSS OR DAMAGES DUE TO HOTSPOT MALFUNCTION. The city/state will not be responsible for any personal, financial, or other loss caused by the malfunction of the hotspot.

Consultant acknowledges that ADGI is required to comply with the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, and the rules promulgated by the Securities and Exchange Commission and the applicable securities and other laws of various states. Consultant hereby agrees that in performance of the consulting services contemplated by this Agreement, Consultant will comply with all applicable laws. Consultant further represents that it is fully authorized to perform the services contemplated herein and that there is no legal impediment to its performance of such services.
